Allarity Therapeutics, Inc. told the Securities and Exchange Commission on August 14, 2025 that it could not file its quarterly report on Form 10-Q for the quarter ended June 30, 2025 on time. The company filed a notice of late filing on Form 12b-25, often called an NT 10-Q. Jeff Ervin, identified as chief financial officer, signed it for the company.

Under Rule 12b-25, a company that files the notice on time gets a short grace period, which for a quarterly report runs five calendar days past the original due date. The notice says the financial statements for the quarter are still being reviewed by the company's certifying auditors, and that the review "has not been completed as of this date." Management concluded that it could not finish the Form 10-Q and its XBRL exhibit, the machine-readable data file, before the deadline without unreasonable effort or expense.

The notice does not say what the auditors are reviewing, whether they have found an accounting issue, or why the review is running past the due date. A late filing is not in itself a finding of error, and the notice gives no explanation for the delay beyond the pending review. The company gave no separate statement about the delay.

The company said it "reasonably believes" it will file the report within the extension period. It also said it has filed all other periodic reports required over the past 12 months, and that it does not expect a significant change in results from the same quarter a year earlier. Those are the company's own statements, and the notice offers no support for them. The notice is here.

The company's annual report for 2024, filed in late March 2025, describes Allarity as a clinical-stage precision medicine company built on its Drug Response Predictor, or DRP, platform. The platform uses gene-expression signatures to identify patients whose cancers are likely to respond to a given drug, and the company's model is to pair its drugs with those companion diagnostics. The annual report sets out that strategy.

Its lead asset is stenoparib, a dual inhibitor of PARP1, PARP2 and tankyrases, which Allarity in-licensed with worldwide rights from Eisai Pharmaceuticals. The annual report says a phase 2 trial in advanced, recurrent ovarian cancer enrolls only patients selected with the stenoparib DRP test. The clinical examples it gives are individual cases: one complete, confirmed response, one patient with platinum-refractory disease who stayed on therapy for more than 10 months, and two patients with stable disease for more than 17 months. The annual report gives no response rate for the trial as a whole and describes no control arm. The company is designing a new protocol to test the benefit more fully, and says its other programs, dovitinib, Irofulven and LiPlaCis, were terminated.

The annual report names Thomas H. Jensen as chief executive, a co-founder who was made permanent CEO in June 2024, and Alexander Epshinsky as chief financial officer, added in the second half of 2024. The August notice is signed by Jeff Ervin in that role. The notice does not say when that change happened. It also gives no financial figures, so it shows neither the company's cash position nor the reason for the review.

The company says it expects to file the 10-Q within the extension period. The notice sets no new date for that report, and the annual report gives no timetable for the new stenoparib protocol. Until the 10-Q is filed, investors have no company figures for the June quarter.
