On May 7, 2026, AIM ImmunoTech Inc. (NYSE American: AIM) entered into a warrant exercise inducement offer letter with holders of its existing warrants. The company said closing was expected on May 8, 2026, subject to customary closing conditions. Under the letter, the holders agreed to exercise their existing warrants for cash at a reduced exercise price of $0.48 per share. In consideration, the company agreed to issue the holders new warrants. If all of the existing warrants are exercised in full, the company will receive aggregate gross proceeds of approximately $4.20 million. The company intends to use the net proceeds for working capital and general corporate purposes.
The terms
The existing warrants were issued in three groups. Class A and Class B warrants issued on May 31, 2024 are exercisable for up to 112,819 shares at $36.30 per share. Class C and Class D warrants issued on September 30, 2024 are exercisable for up to 93,061 shares at $28.00 per share. Class E and Class F warrants issued on July 31, 2025 are exercisable for up to 8,514,048 shares at $1.439 per share.
In exchange for the cash exercise, each holder receives new Class H warrants to purchase up to 200% of the number of shares issued on that holder's exercise. In total, the Class H warrants cover up to 17,439,856 shares of common stock. The Class H warrants have a five-year exercise term from the initial exercise date, which is the stockholder approval date. Their exercise price is $0.60 per share. The issuance of the warrant shares is subject to stockholder approval under NYSE American rules, to the extent required. The company agreed to convene a stockholders' meeting on or before the 75th day after the closing of the warrant inducement to approve that issuance, if required.
Placement agent and advisors
The company's engagement agreement names Ladenburg Thalmann & Co. Inc. as placement agent for these transactions. Under that agreement, the company will pay the placement agent a cash fee of 8.0% of the aggregate gross proceeds. It will also reimburse the placement agent's expenses up to $50,000, and pay a management fee of 0.75% of the gross proceeds from the holders' exercises of their existing warrants.
The company agreed to issue the placement agent or its designees warrants to purchase up to 6% of the shares issued to the exercising holders. These placement agent warrants have substantially the same terms as the Class H warrants, except that they are exercisable for five years from issuance, carry an exercise price equal to 125% of the reduced exercise price, and include piggyback registration rights. The 8-K names no legal counsel for the company or the placement agent.
Background on the company
AIM describes itself as an immuno-pharma company headquartered in Ocala, Florida. Its lead product is Ampligen (rintatolimod), which the annual report describes as a double-stranded RNA molecule being developed for cancers, viral diseases and disorders of the immune system. The company has focused its efforts on late-stage pancreatic cancer, and its ongoing Phase 2 DURIPANC study combines Ampligen with Imfinzi (durvalumab). Eighteen patients have been enrolled in that study.
Financial position
The XBRL figures from the 10-K show revenue of $88,000 for 2025, compared with $170,000 for 2024. Research and development expense was $3.9 million in 2025 and $6.2 million in 2024. The risks ahead
The deal is dilutive. The Class H warrants cover up to 17,439,856 shares at $0.60, while the existing warrants carried exercise prices of $36.30, $28.00 and $1.439 before the cut to $0.48. Gross proceeds of approximately $4.20 million, if all warrants are exercised, compare with cash used in operations of $11.0 million and a net loss of $14.0 million in 2025. The company agreed to file a resale registration statement 30 calendar days after closing and, if required, to hold a stockholders' meeting on the new warrant shares. Ampligen is not approved by the FDA.
