The underwriting

The representative had already exercised in full the portion of the over-allotment option that relates to the two-year and five-year milestone warrants. That portion covered two-year and five-year milestone warrants, in each case to purchase 6,403,290 shares of Common Stock or pre-funded warrants in lieu of them.
The 8-K does not discuss the company's listing status or its cash balance.
Company background
According to the annual report, AEON is advancing ABP-450 as a biosimilar to BOTOX, aiming for full-label U.S. market entry for debilitating medical conditions. The company became public through a business combination with Priveterra Acquisition Corp. that closed on July 21, 2023, and its common stock began trading on the NYSE American as AEON on July 24, 2023. ABP-450 is manufactured by Daewoong Pharmaceutical Co., Ltd. in a facility designed to be compliant with current Good Manufacturing Practice, and the annual report says the same botulinum toxin complex is approved in the United States for aesthetic use under the brand name Jeuveau. Under Section 351(k) of the Public Health Service Act, a biosimilar must be shown to be highly similar to an approved reference biologic, with no clinically meaningful differences in safety, purity or potency. The company holds exclusive development and commercialization rights for therapeutic indications in the United States, Canada, the European Union, the United Kingdom and certain other territories. Its Class A common stock, with a par value of $0.0001 per share, trades on the NYSE American under the symbol AEON.
The annual report says AEON initially met with the FDA in the third quarter of 2024 and commenced analytical studies in the fourth quarter of 2024. The results it describes so far include 100% amino acid sequence identity between ABP-450 and BOTOX, based on sequence coverage of 93% to 99% for the five proteins in the 900kD botulinum toxin type A complex. More than 3,400 amino acids were analyzed across three lots of ABP-450 and two lots of Botox, without a single amino acid difference. The annual report says AEON held a BPD Type 2a meeting with the FDA in January 2026 and was planning to request a BPD Type 2b meeting in 2026.
For 2025, AEON reported research and development expense of $4.1 million, compared with $14.2 million for 2024. The net loss was $39.2 million for 2025. Cash flow from operations was negative $17.3 million in 2025 and negative $20.3 million in 2024.
What the numbers and the science leave open
The over-allotment brought in about $1.4 million net, small against a net loss of $39.2 million for 2025 and negative operating cash flow of $17.3 million. More shares and milestone warrants mean more dilution for existing holders. The sequence-identity result the annual report cites is analytical, not clinical: it says nothing yet about how ABP-450 performs in patients against BOTOX, and no biosimilar application has been filed. The next step the annual report describes is a Type 2b meeting with the FDA, which the company only planned to request in 2026, and the 8-K sets no timetable. The 8-K is on the SEC website.
