AEON Biopharma, Inc. (NYSE American: AEON) announced on July 13, 2026 the pricing of an upsized underwritten public offering. The company expected gross proceeds of approximately $13.75 million before underwriting discounts and offering expenses. If all the two-year and five-year milestone warrants sold in the offering were exercised for cash, the company would receive an additional $29.6 million, bringing the total potential gross proceeds to up to about $43.3 million. The proceeds are expected to fund working capital and general corporate purposes, including comparative analytical testing on ABP-450 to support biosimilarity to BOTOX.
The securities
The offering consists of 42,688,606 shares of common stock, or pre-funded warrants in lieu of them. Each share or pre-funded warrant comes with one two-year milestone warrant and one five-year milestone warrant, each to purchase one share of common stock or a pre-funded warrant. The combined public offering price is $0.3221 per share of common stock, or $0.3220 per pre-funded warrant, including the accompanying warrants. Each pre-funded warrant has an exercise price of $0.0001 per share. The two-year milestone warrants have an exercise price of $0.3221 per share, and the five-year milestone warrants have an exercise price of $0.3704 per share. All of them are immediately exercisable upon issuance.
The two-year warrants expire on the earlier of the second anniversary of issuance or 45 days after the company announces a specified regulatory milestone for ABP-450. The five-year warrants expire on the earlier of the fifth anniversary of issuance or 45 days after the company announces a specified clinical development milestone. The company also granted the representative a 30-day option to buy up to an additional 6,403,290 shares, or warrants for those shares, solely to cover over-allotments.

The offering was made under a registration statement on Form S-1 (File No. 333-297327), as amended, first filed with the SEC on July 8, 2026 and declared effective on July 13, 2026. A related registration statement under Rule 462(b) was filed on July 13, 2026 and became automatically effective upon filing. Company background
The release describes AEON as advancing ABP-450 as a proposed biosimilar to BOTOX for therapeutic indications. It says the U.S. therapeutic neurotoxin market exceeds $3.0 billion annually. ABP-450 is the same botulinum toxin complex marketed for cosmetic indications by Evolus, Inc. as Jeuveau, and Daewoong Pharmaceutical manufactures it. According to the annual report, AEON held a BPD Type 2a meeting with the FDA in January 2026, was planning a BPD Type 2b meeting in 2026, and expected to complete the majority of its analytical comparability program in 2026. Research and development expense was $4.1 million in 2025, compared with $14.2 million in 2024, and the net loss was $39.2 million for 2025.
The raise is small and dilutive. It consists of 42,688,606 shares or pre-funded warrants at $0.3221 each, and every one of them carries two more warrants, so the potential share count grows well beyond the shares sold. The $29.6 million in extra proceeds is only potential: it arrives only if holders pay cash to exercise, and the warrants can expire 45 days after the company announces the regulatory or clinical milestone they are tied to. Against that, the company lost $39.2 million in 2025. The annual report also shows the science is at an analytical stage; the company was still only planning to request its next FDA meeting in 2026. The pricing release is on the SEC website.
