Aditxt, Inc. told the Securities and Exchange Commission on November 15, 2024 that it could not file its quarterly report on Form 10-Q for the period ended September 30, 2024 on time.

A Form 12b-25, often called an NT filing, tells the SEC that a periodic report will be late. Filing it on time gives a company a short grace period under Rule 12b-25(b). For a quarterly report, the grace period is five calendar days after the original due date.

Aditxt said the work of compiling, distributing and reviewing the information required for the report "has imposed time constraints that have rendered timely filing of the Form 10-Q impracticable without undue hardship and expense." The company said it will file the quarterly report no later than 5 days after its original due date.

It said it has filed all other required periodic reports during the preceding 12 months. It also said it does not expect a significant change in results of operations from the corresponding period of the last fiscal year to show in the report, according to the notice.

Aditxt lists its principal executive office in Mountain View, California.
