The shelf

Acumen Pharmaceuticals, Inc. filed a Form S-3 shelf registration statement with the Securities and Exchange Commission on October 26, 2026. It would let the company offer and sell up to $500,000,000 of common stock, preferred stock, debt securities and warrants, in any combination, in one or more offerings from time to time. It may also offer securities issuable on conversion, redemption, repurchase, exchange or exercise of those securities. The terms of each offering, including price and size, are to be set in later prospectus supplements. The statement is subject to completion and is not yet effective.

The last reported sale price of the common stock on the Nasdaq Global Select Market was $1.98 per share on October 23, 2026. Acumen is a non-accelerated filer, a smaller reporting company and an emerging growth company.

Banks, agents and counsel

The filing says the securities may be sold directly to investors, through agents designated from time to time, or to or through underwriters or dealers, including in at the market offerings. It names no underwriter, agent or lender, and any names, fees and discounts will appear in a prospectus supplement. Ropes & Gray LLP of Boston will pass on the validity of the securities, and the copies-to line lists Thomas J. Danielski of that firm and Derek Meisner, Acumen's Chief Legal Officer. Daniel O'Connell, the Chief Executive Officer, is the agent for service. Ernst & Young LLP audited the 2025 financial statements.

Going concern

The experts section says Ernst & Young's report on the financial statements in the annual report for 2025 contains an explanatory paragraph describing conditions that raise substantial doubt about the company's ability to continue as a going concern, as described in Note 1 to the financial statements. The shelf's own forward-looking statements also list the company's ability to continue as a going concern among the uncertainties.

The numbers show why. Annual figures from the 10-K filed March 26, 2026 show research and development expense of $104.9 million for 2025, against $93.8 million for 2024, and a net loss of $121.3 million against $102.3 million. Cash used in operations was $115.5 million in 2025 and $86.2 million in 2024. At the end of 2025 the company held $54.0 million in cash and cash equivalents and $62.9 million in short-term investments, compared with $35.6 million and $135.9 million a year earlier. At September 30, 2026 it held $53.1 million in cash and cash equivalents and $25.5 million in short-term investments.

The science

Acumen is a clinical-stage company working on soluble amyloid-beta oligomers in Alzheimer's disease. Its lead candidate, sabirnetug, is in the Phase 2 ALTITUDE-AD trial, a randomized, double-blind, placebo-controlled study of 542 participants with mild cognitive impairment or mild dementia. The company says it plans to announce top-line results in November 2026, covering the difference from placebo after 18 months on the Integrated Alzheimer's Disease Rating Scale, its primary endpoint, plus secondary endpoints, safety measures including amyloid-related imaging abnormalities, and biomarkers.

The human data so far come from an earlier trial. In July 2023 the company said INTERCEPT-AD met its primary and secondary objectives in 62 participants with early disease. Its annual report says the overall rate of ARIA-E, an amyloid-related imaging abnormality, was 10.4%, rising from 7% at 10 mg/kg or 25 mg/kg to 21% at 60 mg/kg. The primary endpoints of that trial were safety and immunogenicity, not clinical benefit.

A second program uses a brain-delivery approach licensed from JCR Pharmaceuticals Co. Ltd. In March 2026 Acumen reported animal data showing 14-40x higher brain levels than native antibodies. In June 2026 it named two development candidates, ACU301 and ACU401, and exercised its option, which required an option exercise payment of $9.25 million, paid to JCR in July 2026. JCR is eligible for milestones of up to $555.0 million in total, plus single-digit percentage royalties. The company targets an investigational new drug application for the lead candidate in mid-2027.
