ABVC BioPharma, Inc. told the Securities and Exchange Commission on May 15, 2026 that it could not file its quarterly report on time. The company filed a Form NT 10-Q, also called a Form 12b-25 notification of late filing, for the period ended March 31, 2026. The notice says management reasonably believes it can complete and file the Form 10-Q within the prescribed extension period.

What the notice says

A Form NT 10-Q is the form a company files when it expects to miss the due date for its quarterly report on Form 10-Q. The form gives the company extra time if it meets certain conditions. ABVC checked the box for Form 10-Q and gave the period as the quarter ended March 31, 2026.

The reason appears in the narrative section. The company says it is unable to finalize the Form 10-Q and the XBRL exhibit to the report before the filing deadline without unreasonable effort or expense. XBRL is the electronic tagging format attached to financial reports.

Under Rule 12b-25, ABVC checked two boxes. The first says the reason described in Part III could not be eliminated without unreasonable effort or expense. The second says the quarterly report will be filed on or before the fifth calendar day following the prescribed due date.

Other answers in the form

The notice follows the annual report the company filed on March 3, 2026. ABVC answered yes when asked whether it has filed all other periodic reports required under Section 13 or 15(d) of the Securities Exchange Act of 1934 during the preceding 12 months. It answered no when asked whether it anticipates any significant change in results of operations from the corresponding period of the last fiscal year to be reflected in the earnings statements in the report.

The company lists its principal executive office at 44370 Old Warm Springs Blvd., Fremont, CA 94538. Its 10-K includes a section headed Substantial Doubt About the Company's Ability to Continue as a Going Concern, in the auditor's report and the financial statements. The statements were prepared on the assumption that the company will continue as a going concern. The form names Uttam Patil as the person to contact about the notice. Patil signed it on May 15, 2026 as Principal Executive Officer.

The company and its finances

ABVC's 10-K, filed March 3, 2026, lists a pipeline that includes ABV-1504, a botanical reuptake inhibitor that targets norepinephrine, for major depressive disorder. It reports a completed Phase II for ABV-1504 and a completed Part 1 of a Phase II for ABV-1505 in adult attention-deficit hyperactivity disorder. The company works with research institutions in the United States, Australia and Taiwan on its Phase II trials. Its subsidiary BioKey provides contract development and manufacturing services. The filing names Lind Global Fund II, LP, as an investor, and describes a Series A Convertible Preferred Stock.

The auditor's going concern paragraph says the company incurred substantial losses during 2025 and, as of December 31, 2025, had a working capital deficit and net cash outflows from operating activities. The financial figures in the 10-K show a net loss of $7.9 million for 2025, against $4.9 million for 2024, and cash used in operations of $3.0 million for 2025, against $1.8 million. Revenue for 2024 was $509,589. Eugene Jiang signed the 10-K as Chairman of the Board of Directors. The notice gives no reason for the delay beyond the unfinished 10-Q and XBRL exhibit, and it does not say whether any accounting question is involved.
