ABVC BioPharma, Inc. said on March 31, 2025, that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024, by the filing deadline.

The company filed a notification of late filing on Form 12b-25. This form tells the SEC that a report will be late and gives the company a short extension. For an annual report, the extension runs to the fifteenth calendar day after the due date.

ABVC said the delay comes from a delay it experienced in completing its financial statements and other disclosures in the Form 10-K. As a result, the company said it is still in the process of completing its audit for the fiscal year and compiling certain other required information.

The company anticipates that it will file the Form 10-K no later than the fifteenth calendar day following the prescribed filing date.

In the form, ABVC said it has filed all other periodic reports required during the preceding 12 months. It does not expect any significant change in results of operations from the prior fiscal year to be reflected in the annual report.

The Fremont, California company filed the notice on March 31, 2025.
