ZyVersa Therapeutics, Inc. (ZVSA) disclosed in a Form 8-K dated July 8, 2026 and filed July 10, 2026 that a director has resigned and that the company is exploring cost reductions while it seeks to raise capital. The filing covers two items, a change in the board under Item 5.02 and a description of measures under consideration under Item 8.01.

Min Chul Park, Ph.D., notified the board on July 8, 2026 that he intended to resign as an independent director and from his seats on the Compensation Committee and the Nominating and Corporate Governance Committee. The board accepted the resignation, effective immediately. The company said the resignation was for personal reasons and was not the result of any disagreement with the company on its operations, policies or practices.

The cost measures

The board and management have begun, and are continuing to explore, cost-cutting measures to maximize the company's available resources while it seeks to raise capital. The chief executive officer, Stephen Glover, and the chief financial officer, Peter Wolfe, each voluntarily agreed to accept reduced compensation. The filing says this was to support the company "during a period of limited cash resources" and to give it greater balance sheet flexibility.

The 8-K lists measures under consideration. These include divesting or selling the company's VAR 200 or IC 100 product candidates. They also include reducing headcount to focus on core services and support, and considering ways to decrease public company expenses. One of those ways, the filing says, is possibly going dark by suspending the company's reporting obligations under Sections 13(a) and 15(d) of the Securities Exchange Act of 1934, under Rule 12h-3. The company says it will also consider other ways to maximize shareholder value, including a sale of the company or its assets, or a restructuring or reorganization.

The company expects that savings from any cost reductions it adopts, along with any capital raise, may allow it to keep operating while it seeks new sources of financing to stabilize its finances and operations.

What the company develops

The 10-K filed March 31, 2026 describes ZyVersa as a clinical-stage biopharmaceutical company developing drugs for chronic renal or inflammatory diseases. Both of its platforms were discovered by scientists at the University of Miami Miller School of Medicine and licensed to the company.

VAR 200, an injectable drug that the 10-K calls a Cholesterol Efflux Mediator, was licensed from L&F Research LLC on December 15, 2015. Its lead indication is focal segmental glomerulosclerosis (FSGS), a progressive kidney disease with no approved drug therapy. The 10-K says FSGS is an orphan disease affecting approximately 40,000 people in the United States, and it plans a Phase 2a basket trial in FSGS and Alport syndrome patients in Q2-2026.

IC 100, a humanized monoclonal antibody in preclinical development, was licensed from InflamaCore, LLC on April 18, 2019. Its lead indication is cardiometabolic conditions associated with obesity. The 10-K says the company plans to submit an investigational new drug application for IC 100 in Q4-2026, followed by a Phase 1 trial in healthy overweight patients.

Financial position

The XBRL data from the 10-K filed March 31, 2026 shows research and development expense of $1.1 million for 2025, down from $1.8 million for 2024. The net loss was negative $25.0 million for 2025, compared with negative $9.4 million for 2024. Cash from operations was negative $5.1 million for 2025 and negative $7.5 million for 2024.

The 10-Q filed May 13, 2026 reports cash and cash equivalents of $101,778 at year-end 2025 and $302,660 at March 31, 2026. It also reports $1.5 million at year-end 2024.

What comes next

The company says its cost review and capital raise are both still in progress. Cash was $302,660 at March 31, 2026, against $5.1 million used in operations in 2025, and the Phase 2a trial and IC 100 filing in the 10-K are plans with no stated funding. The sources cite no human efficacy data for either candidate. The 8-K does not name a buyer, a timetable for any sale or divestiture, or a decision on going dark. The filing's forward-looking statements warn that actual results and timing could differ materially.
