Zhengye Biotechnology Holding Limited (Nasdaq: ZYBT) said in a 6-K filed March 25, 2026 that its shareholders adopted all five resolutions put to the annual general meeting held on March 24, 2026. Two of the resolutions were a share reclassification and a share consolidation. The 6-K does not give the terms of either, the consolidation ratio, the class the reclassification creates or the reason for the changes.

The meeting and the votes

The meeting was held at the company's principal executive office in Jilin City, Jilin Province, China, at 8:00 a.m. Eastern time on March 24, 2026, with virtual attendance by webcast. The record date was February 12, 2026, when there were 47,391,376 ordinary shares outstanding, each with one vote. Holders of 43,133,362 ordinary shares attended, which formed a quorum.

The five resolutions were an ordinary resolution to elect two director candidates, an ordinary resolution to re-elect certain current directors, an ordinary resolution to approve the share reclassification, an ordinary resolution to approve the share consolidation and a special resolution to adopt a new memorandum and articles of association.

The election of the director candidates drew 43,092,532 votes for, 24,730 against and 16,100 abstentions. The re-election drew 43,090,399 for, 26,743 against and 16,220 abstentions. The share reclassification drew 43,023,158 for, 90,024 against and 20,180 abstentions. The share consolidation drew 43,088,491 for, 44,771 against and 100 abstentions. The new memorandum and articles drew 43,025,957 for, 91,275 against and 16,130 abstentions.

The 6-K is signed by Songlin Song as chief executive officer.

Who carries the vote

The company's 20-F for 2024, filed July 3, 2025, reports that Securingium Holding Limited, a British Virgin Islands company, holds 40,000,000 ordinary shares. The table in that report shows the holding as 84.40% of the outstanding shares. The 20-F traces Securingium's ownership through a trust whose settlor, beneficiary and protector is Zhenfa Han. It lists Han, the company's director and chairman of the board, as beneficially owning 42,963,748 ordinary shares, or 90.66%. The 20-F gives those figures as of its own date, not the February 12, 2026 record date. The 6-K does not say which shareholders voted for or against any resolution.

What the 6-K leaves out

The 6-K says the resolutions passed. It does not say why the company wants to reclassify and consolidate its ordinary shares, what the ratio is, what class the reclassification creates or when the changes take effect. It does not say whether any holder will be paid out or whether the changes will affect the number of ordinary shares held by each shareholder.

The 6-K also does not mention Nasdaq or the listing standards that might apply to the changes. The only description of the company in the 6-K is its address.

The last full year before the meeting

The most recent full-year figures before the meeting are for 2024, taken from the 20-F filed July 3, 2025. The company reported revenue of $25.5 million for 2024, net income of $1.6 million, and cash provided by operations of $5.6 million. Research and development expense was $1.8 million. Year-end cash and cash equivalents were $2.5 million.

The 6-K does not connect the share changes to any financing, lending arrangement or listing requirement.

What the vote settles

The shareholders approved every resolution, and the changes are now authorized. The filing gives the vote totals and the list of resolutions. It does not give the terms that would show how the share count will change or what the reclassification means for the rights of each class.
