XTL Biopharmaceuticals Ltd. (Nasdaq: XTLB) said it received a letter on July 20, 2026 from the Listing Qualifications staff of The Nasdaq Stock Market confirming that it has regained compliance with four Nasdaq listing rules. They are the Public Interest Concern Rule (5101), the Periodic Filing Rule (5250(c)(1)), the Bid Price Rule (5550(a)(2)) and the Equity Rule (5550(b)(1)). The company regained compliance as required by the Nasdaq Hearings Panel's decision dated May 4, 2026.

The letter also puts the company under a one-year monitor, which is the more consequential part of the letter.

Three bases for the finding

Staff based its determination on three things. First, the company evidenced a closing bid price above $1.00 for at least 20 consecutive trading days as of July 13, 2026. Second, it filed its Form 20-F for the fiscal year ended December 31, 2025 on June 30, 2026. Third, following the completion of its acquisition of Psyga Bio Ltd. and a subsequent equity raise, it had a minimum of $2.5 million in stockholders' equity.

The third basis is the least specific. The letter describes the company as having "a minimum of $2.5 million in stockholders' equity" and gives no actual equity figure.

A one-year monitor with no cure period

The company is subject to a Mandatory Panel Monitor for one year from the date of the letter, under Nasdaq Listing Rule 5815(d)(4)(B). If staff finds the company out of compliance with the Equity Rule again within that year, the company may not submit a compliance plan, staff may not grant more time, and no cure or compliance period applies under Rule 5810(c)(3).

Instead, staff will issue a Delist Determination Letter. The company would then have the opportunity to request a new hearing before the Panel.

A new business, after two others

The company completed the acquisition of 83.4% of the share capital of Psyga Bio Ltd. in June 2026. The 20-F describes Psyga as an advanced biotechnology company focused on research, development and commercialization of proprietary products derived from psychedelic and functional mushrooms.

The report lists three subsidiaries: Psyga, Xtepo Ltd., which holds a license for the exclusive use of rHuEPO for the treatment of multiple myeloma, and The Social Proxy Ltd. The company was established to develop pharmaceutical drugs for autoimmune diseases, moved in 2024 into AI web data through The Social Proxy, and now describes Psyga as its newest direction. Of its earlier programs, the 20-F says "most of which have terminated."

The Social Proxy write-off

The company bought The Social Proxy in August 2024. According to the 20-F, the subsidiary was placed in insolvency proceedings in February 2026. The Israeli court opened those proceedings, found no reasonable prospect for the subsidiary's economic rehabilitation, ordered its liquidation and appointed a trustee.

The 20-F also describes a dispute with the former Social Proxy shareholders. Relying on a legal opinion, the company says effective control of Social Proxy has been held by those former stockholders since January 1, 2025, and that XTL had no control over the subsidiary during 2025. XTL stopped consolidating the subsidiary from January 1, 2025. All Social Proxy activity was classified as a discontinued operation, and the company reclassified its 2024 Social Proxy results the same way.

The 2024 acquisition the company once described as an expansion is out of its consolidated results.

What the letter does not say

The Nasdaq letter, as quoted in the 6-K, covers compliance and the monitor. It does not address the company's cash, its operating losses or its going-concern status. The 6-K gives the principal executive office as 85 Medinat ha-Yehudim Street in Herzliya, Israel.

What comes next

The letter restores compliance, but for a year any new equity shortfall would bring a Delist Determination Letter with no compliance plan and no extra time. The company would then have the opportunity to request a new hearing with the Panel.
