The first half
XORTX Therapeutics Inc. (Nasdaq: XRTX) furnished unaudited condensed interim financial statements for the six months ended June 30, 2026 in a Form 6-K filed August 17, 2026. The company had a net loss of $2,499,206 for the six months, compared with $1,416,373 a year earlier.
Operating activities used $3,768,993 in the six months, against $1,437,249 a year earlier. Cash was $994,045 at June 30, 2026. That compares with $864,514 at December 31, 2025, and $1,063,477 at June 30, 2025. Note 1 repeats the going-concern language. It says the company will have to finance its research and development and clinical studies and plans to raise the necessary capital. Management is "of the opinion that additional funding for future projects and operations can be raised as needed," although there is no certainty of that. If financing falls short, research activities will be postponed until market conditions improve, and the note calls this a material uncertainty that casts significant doubt about the company's ability to continue as a going concern.
The public offering and its costs
On May 15, 2026 the company issued 183,577 common shares and 2,475,997 pre-funded warrants in a public offering for gross proceeds of $5,000,000. Each pre-funded warrant entitles the holder to one common share at an exercise price of $0.0001. Issuance costs were $961,720, made up of finder's fees of $639,000 and other cash issuance costs of $322,720. The statements do not name the finder, an underwriter or an adviser.
The share base is small, and the warrants are large against it. After a 5-for-1 consolidation on April 6, 2026, 1,730,565 common shares were outstanding at June 30, 2026, against 1,392,444 at December 31, 2025. Pre-funded warrants outstanding were 3,168,147, and other warrants outstanding were 632,332 at a weighted average exercise price of $12.83. Loss per share was $1.66 for the six months, against $1.88 a year earlier, on a weighted average of 1,505,698 shares.
The Vectus acquisition
On April 13, 2026 XORTX completed the acquisition of the VB4-P5 renal anti-fibrotic program from Vectus Biosystems Limited. The assets include intellectual property rights for the VB4-P5 compound, patent rights, regulatory documentation and manufacturing data. The consideration was 154,544 common shares and 692,150 pre-funded warrants exercisable at US$0.0001, with a fair value of $1,871,194. The pre-funded warrants expire on April 13, 2031.
The company treated the deal as an asset acquisition, not a business combination, and booked the VB4-P5 intellectual property as an in-process research asset. It carries that asset at $2,342,319 and recorded no amortization on it. Total assets rose to $6,184,197 from $2,683,530 at December 31, 2025, and shareholders' equity rose to $5,504,675 from $2,084,459. The accumulated deficit reached $26,323,763.
Spending: marketing up, research down
Research and development expense was $147,045 for the six months, against $463,060 a year earlier. Investor relations expense was $1,360,115, up from $305,902. Prepaid expenses of $1,354,756 include $1,343,004 for investor relations conferences and services. The notes tie most of that to a marketing and investor relations services agreement with IR Agency LLC, signed May 18, 2026 with a 90-day term, with $1,305,556 unamortized at June 30.
The company describes itself as a late-stage clinical pharmaceutical company developing therapies for gout and progressive kidney disease.
Management and events after June 30
On June 6, 2026 the company signed a consulting agreement with a company controlled by its Co-Chief Executive Officer, at annual fees of $240,000, terminable on 90 days' written notice.
The subsequent-events note lists three items. On July 24, 2026, 86,000 pre-funded warrants were exercised for gross proceeds of $8.60.
