The facility and the repayment

X4 Pharmaceuticals, Inc. (Nasdaq: XFOR) said on October 8, 2026 that it had entered into a senior secured term loan facility of up to $150 million with K2 HealthVentures LLC, which it describes as an alternative investment firm that provides financing to life sciences companies. The facility replaces the company's prior loan agreement.

The first tranche of $80 million funded at closing. X4 used it to repay in full all obligations under its prior loan and security agreement, including $75 million of principal and related fees, along with closing costs. An additional $70 million may be made available at the company's request, subject to K2HV's approval and other conditions.

The company says the new facility is larger, has a longer interest-only period and carries a 48-month maturity. The interest-only period matters because it defers principal payments. The release says the facility is meant to support corporate activities, including a possible commercial launch of mavorixafor in chronic neutropenia.

The covenants and the conditions

The forward-looking section lists the risks the company itself names. X4 may not meet the conditions for the extra tranches or win K2HV's approval for a draw. It may breach loan covenants, including minimum cash and minimum revenue covenants. The interest-only period may not be extended if first commercial sales of mavorixafor in chronic neutropenia do not come on the expected timeline. Changes in the prime rate could raise its interest expense.

The release ties any extension of the interest-only period to first commercial sales of mavorixafor in chronic neutropenia on the expected timeline. It says more detail on the loan will come in SEC filings.

The trial behind the launch

The launch the loan is meant to support depends on the Phase 3 4WARD trial, which the company is running in chronic neutropenic disorders. X4 expects to complete enrollment by the end of 2026 and to report topline data in the first half of 2028. The FDA has granted Fast Track designation to mavorixafor for chronic neutropenia, which is a designation, not an approval.

The 10-K for 2025 gives an earlier schedule than the October release. It targeted enrollment of up to 176 patients in the third quarter of 2026 and top-line data in the second half of 2027, while the release now says enrollment should finish by year-end 2026 and data should come in the first half of 2028. The company's approved product is XOLREMDI, which the 10-K says received accelerated approval from the FDA for WHIM syndrome. The 10-K calls it the company's one commercially approved product and mavorixafor its primary asset, and says the company is not actively promoting XOLREMDI in the U.S.

The money behind the loan

The XBRL data show a company spending heavily. Revenue was $6.5 million in 2025 and $2.6 million in 2024. Research and development expense was $72.7 million in 2025 and $81.6 million in 2024. The net loss was $79.2 million in 2025, compared with $37.5 million in 2024. Cash used in operations was $85.6 million in 2025 and $130.9 million in 2024.

Cash and cash equivalents were $55.7 million at year-end 2024 and $195.1 million at June 30, 2026. The 10-K says X4 raised net proceeds of $81.0 million in the August 2025 private placement and $145.6 million in a fourth-quarter 2025 public offering, and had $253.0 million in cash, cash equivalents and marketable securities at December 31, 2025. It also describes two restructuring actions in 2025 that cut head count by approximately 65%. The new loan adds debt to a business that still loses large sums each year, and the lender holds a claim on company assets ahead of other creditors.

Who is involved

K2 HealthVentures LLC is the lender. Parag Shah, its founding managing director and chief executive, is quoted in the release. David Kirske, X4's chief financial officer, said the new structure "provides additional flexibility on more favorable terms." The release names no placement agent, arranger or counsel for the facility. It also names no other lender, so the loan rests on a single financing source.

What comes next

Further loan terms will appear in SEC filings. The open questions are whether X4 meets its covenants and whether it asks K2HV for the additional $70 million.
