Windtree Therapeutics, Inc. said Nasdaq notified it on August 19, 2025 that it has decided to delist the company's common stock from the Nasdaq Capital Market.

Nasdaq cited Windtree's previously disclosed noncompliance with Nasdaq Listing Rule 5550(a)(2). Nasdaq will suspend trading in the shares effective at the open of trading on August 21, 2025.

The Warrington, Pennsylvania company said it expects its common stock to begin trading on the over-the-counter market on August 21, 2025, under its existing symbol WINT. Over-the-counter means the stock is quoted off a national exchange.

Windtree has applied to trade on the OTCID tier of the OTC Market. It said there can be no assurance it will be approved for that tier.

The company said the move to OTC quotation will have no effect on its business or operations. It will keep filing periodic and other required reports with the Securities and Exchange Commission.

Windtree reported the decision in a Form 8-K dated August 20, 2025.
