Wave Life Sciences Ltd., the Singapore-based parent of the Wave group, filed a Form 15 with the Securities and Exchange Commission on August 10, 2026. The form is a certification and notice of termination of registration under Section 12(g) of the Securities Exchange Act of 1934, or of suspension of the duty to file reports under Sections 13 and 15(d). Paul B. Bolno, M.D., MBA, the company's president and chief executive officer, signed it on August 7, 2026.
What the form says
The form is filed under Commission File Number 001-37627 and covers one class of securities, the ordinary shares. In the box for all other classes of securities with a continuing duty to file reports, it says "None." The company marked two provisions as the ones it relies on to end or suspend the duty to file, Rule 12g-4(a)(1) and Rule 12h-3(b)(1)(i). It left the boxes for Rule 12g-4(a)(2), Rule 12h-3(b)(1)(ii) and Rule 15d-6 unmarked.
The principal executive offices are listed at 7 Straits View, Marina One East Tower, in Singapore. The form gives the approximate number of holders of record of the ordinary shares as 1. It counts holders of record and does not name that holder or say who owns the shares beyond it.
What the filing leaves out
The Form 15 is a short certification and carries no explanation. It does not state a reason for ending the reporting duty, and it does not mention the Nasdaq listing, any merger, tender offer or change of domicile. It gives no date on which the duty to file reports would end, no share count and no financial information. A reader cannot tell from the form alone what has happened to the company's public shareholders or to the Nasdaq trading of the ordinary shares.
The form is a notice rather than an explanation, and it sits beside the spending figures below.
The business behind the filing
The company's annual report for 2025, filed on February 26, 2026, describes Wave as a clinical-stage biotechnology company working on RNA medicines, also called oligonucleotides. Its platform, called PRISM, combines several modalities, including RNA interference, which the company calls SpiNA, and RNA editing, which it calls AIMers. The company says it has more than a decade of experience in oligonucleotide chemistry and that it has seen in clinical trials that its chemistry modifications enhance potency, distribution and durability of effect. Those are the company's own statements.
The pipeline is focused on three programs: WVE-007, a GalNAc-conjugated siRNA aimed at inhibin beta E for obesity; WVE-006, a GalNAc-conjugated RNA editing oligonucleotide for alpha-1 antitrypsin deficiency; and WVE-008, a GalNAc-conjugated RNA editing oligonucleotide for PNPLA3 I148M liver disease. The clinical-stage portfolio also includes WVE-N531, an exon 53 splicing oligonucleotide for Duchenne muscular dystrophy, and WVE-003, an allele-selective oligonucleotide for Huntington's disease.
In its obesity discussion, the annual report notes that Saxenda and Wegovy from Novo Nordisk, and tirzepatide from Eli Lilly, are approved for obesity. It argues that unmet need remains, saying GLP-1 drugs lead to weight loss at the expense of muscle mass, with discontinuation rates up to 68%. That case for WVE-007 is the company's argument, and the passage describes competitors that are already on the market.
The spending
The 2025 financial data show research and development expense of $182.8 million, up from $159.7 million in 2024. The net loss was $204.4 million for 2025, against $97.0 million for 2024. Cash used in operations was $187.5 million in 2025, against $151.0 million in 2024. Cash and cash equivalents were $602.1 million at the end of 2025, with no short-term investments, compared with $302.1 million in cash and cash equivalents at the end of 2024.
Both the net loss and operating cash use rose in 2025. The Form 15 says nothing about how the company intends to fund its pipeline or whether the ordinary shares will continue to trade anywhere.
