VYNE Therapeutics Inc. (now Yarrow Bioscience, Inc., Nasdaq: YARW) said on September 12, 2025 that Nasdaq has told it the company is not in compliance with the exchange's minimum bid price requirement. The company disclosed the Nasdaq deficiency notice in a Form 8-K filed with the SEC.

What Nasdaq told the company

On September 11, 2025, the company received notification from The Nasdaq Stock Market LLC that it does not meet the requirement to maintain a minimum closing bid price of $1.00 per share. The rule is Nasdaq Listing Rule 5550(a)(2). Nasdaq said the closing bid price of the company's common stock was below $1.00 per share for 30 consecutive business days.

A bid-price deficiency notice is a warning, not a delisting. The filing says the notification does not affect the listing of the common stock on the Nasdaq Capital Market at this time. The stock continues to trade there during the compliance period.

The deadline to regain compliance

Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days from the date of notification, or until March 10, 2026, to regain compliance with the minimum bid price requirement. The filing explains how that happens. If the bid price of the common stock closes at or above $1.00 per share for a minimum of ten consecutive trading days at any time before March 10, 2026, Nasdaq will provide written notification that the company has achieved compliance.

What the company says it will do

The company says it is considering all available options to regain compliance with the listing rule. It also says there can be no assurance that it will be able to regain compliance or will otherwise be in compliance with other Nasdaq listing criteria.

A possible second compliance period

The filing describes what could follow if the company does not regain compliance by March 10, 2026. A second 180-day compliance period may be available. To qualify, the company would have to give Nasdaq written notice that it intends to regain compliance with the bid price requirement during the second period, by effecting a reverse stock split if necessary. A reverse stock split reduces the number of shares outstanding and raises the per-share price in proportion.

The company would also have to meet the $1 million market value of publicly held shares requirement for continued listing, and all other initial inclusion requirements for the Nasdaq Capital Market, except for the bid price requirement. If the company does not qualify for the second period, or fails to regain compliance during it, Nasdaq will notify the company that its common stock is subject to delisting.

About the company

The 8-K names the company as VYNE Therapeutics Inc., the name it used in the filing. The annual report on Form 10-K filed March 6, 2025 carries the same name. In the forward-looking statements section of that report, the company lists its ability to successfully develop its bromodomain and extra-terminal domain ("BET") inhibitor platform for immuno-inflammatory conditions among the matters it discusses. The list also covers the timing of future preclinical studies and clinical trials, the regulatory approval process for its product candidates, and its pursuit of strategic transactions.

The same list includes the company's estimates of its expenses and capital requirements, its needs for additional financing and its ability to obtain additional capital on acceptable terms or at all.

Who signed

Mutya Harsch, Chief Legal Officer and General Counsel, signed the 8-K on behalf of the company on September 12, 2025. The 10-K was signed by David Domzalski, Director and Chief Executive Officer, and Tyler Zeronda, Chief Financial Officer. The directors named on its signature page are Sharon Barbari, Steven Basta, Christine Borowski, Anthony Bruno, Patrick LePore and Elisabeth Sandoval Little.
