Tickers UPC
A 10-into-1 share consolidation takes effect only if the Class A bid price is below $1.00 for three consecutive trading days within 12 months. The 6-K gives no current share price and does not say whether Nasdaq has sent a notice.

Universe Pharmaceuticals INC, which trades on Nasdaq as UPC, said in a Form 6-K filed on October 6, 2026 that its shareholders approved all proposals put to the annual general meeting held on September 30, 2026. The meeting began at 10:00 a.m. Beijing time at the company's offices in Ji'an, Jiangxi, China. The company is a Cayman Islands exempted company. Its own 20-F says it earns substantial income from dividends paid by three PRC subsidiaries: Universe Technology, Jiangxi Universe and Universe Trade.
Voting power and the record date
The record date was August 31, 2026. On that date there were 5,008,313 Class A ordinary shares and 16,077 Class B ordinary shares outstanding. Each Class A share carries one vote, while each Class B share carries one hundred votes. Shareholders holding about 88.48% of the voting shares attended in person or by proxy, which the filing says was enough for a quorum. The proxy statement was dispatched to shareholders on or around September 1, 2026.
Directors re-elected, with some opposition
Shareholders re-elected five directors: Gang Lai, Lin Yang, Jiawen Pang, Ding Zheng and Yongping Yu. Gang Lai and Lin Yang each received about 99.908% support. Yongping Yu had the weakest support, at 99.183%, with 49,299.57 votes against. That is the largest opposition recorded in any of the director votes.
The share consolidation
Proposal Six, the consolidation, passed with 6,029,866.46 votes for, 6,944.90 against and 141.00 abstentions, or 99.885% in favor. It applies only if the closing bid price of the Class A shares on the Nasdaq Capital Market is below $1.00 for three consecutive trading days within 12 months of the resolution. If that trigger occurs, the consolidation takes effect on the 25th trading day after it. Every 10 Class A shares and every 10 Class B shares would be combined into one share of the same class, and par value would rise from US$0.00001 to US$0.0001. Fractional entitlements would be rounded up to the next whole share.
Authorised capital would change from US$20,000 divided into 1,800,000,000 Class A shares and 200,000,000 Class B shares, to US$20,000 divided into 180,000,000 Class A shares and 20,000,000 Class B shares. Shareholders also approved an amended and restated memorandum of association, to be adopted immediately after the consolidation takes effect. That proposal received 6,030,033.72 votes for, or 99.889%. A proposal to adjourn the meeting if votes were insufficient passed with 5,986,513.20 votes for and 50,241.14 against.
What the filing does not say
The 6-K does not give the current bid price, so the filing alone does not show how close the stock is to the $1.00 trigger. It does not say whether Nasdaq has sent the company a bid price notice, and it gives no date by which the trigger might occur. Because the consolidation is conditional, no change in the share count has taken place. The filing does not describe any plan for the company beyond the consolidation itself.
The company's 20-F, filed on January 29, 2026, adds context on its tax position. It says that dividends paid to non-resident shareholders by a PRC subsidiary are normally subject to PRC withholding tax at 10%, unless a tax treaty provides otherwise. It also says the company has applied SAT Notice 82 guidance to assess its tax residence, even though it is not a Chinese-controlled offshore enterprise under that notice. If the company were treated as a PRC tax resident, dividends and gains on share transfers could be taxed in China. The October 6 filing does not address that question.
