The change

UMeWorld Inc. said that its common stock began trading on the OTC Markets under the new symbol UMEW on January 21, 2026. The company's release is datelined Miami, Florida. It says the change followed a corporate action that was approved by FINRA, the industry regulator for broker-dealers. The action included a redomiciliation from the British Virgin Islands to the State of Delaware, a change of corporate name to UMeWorld Inc., and a new CUSIP number, 90292A105. The company's prior CUSIP was suspended when the change took effect in the market.

The release says these steps follow an October 2, 2025 share exchange and domestication transaction. Under that transaction, UMeWorld Inc. became the successor public issuer to UMeWorld Limited, which means it took over as the issuer of the publicly traded shares. The release says the common stock continues to trade on the OTC Markets. It does not mention an exchange listing.

The business

The annual report says the company was originally incorporated in Delaware as AlphaRx Inc. on August 8, 1997. It re-domiciled to the British Virgin Islands on January 7, 2013, and changed its name to UMeWorld Limited on March 8, 2013. After leaving the education sector in 2021, the company focused on functional nutrition and health-and-wellness products.

Its operating subsidiary is Dagola Inc., a Wyoming company incorporated on January 28, 2022. Dagola distributes and markets DAG-based cooking oil products under the DAGola brand. The report says additional subsidiaries were incorporated after September 30, 2025, including Dagola Hong Kong Limited and Guangzhou Duokanglong Special Medical Nutrition Technology Co., Ltd. It says those entities, along with the redomiciliation, are not consolidated at the balance-sheet date and are described in a later note.

The 2025 results

For the year ended September 30, 2025, revenue was $2,222, compared with $941 a year earlier. Cost of revenues was $8,877, and the company wrote off $29,493 of inventory. Selling, general and administrative expenses were $222,070, against $223,831 in 2024. The net loss was $258,176, up from $224,465.

Cash used in operations was $113,946 in 2025, compared with $30,072 in 2024. The company received $300,000 from issuing common stock, which the equity statement shows as 3,000,000 shares, and repaid $153,510 to related parties. Amounts due to related parties rose by $151,874 during the year. Net cash from financing was $146,490, and year-end cash and cash equivalents were $154,353, up from $121,809. The company had 114,785,005 shares outstanding at September 30, 2025.

The going concern warning

The notes say the financial statements were prepared on the assumption that the company will continue as a going concern. They report an accumulated deficit of $31,929,644 and a stockholders' deficit of $323,911 at year-end. The notes say recurring operating losses, the stockholders' deficit and ongoing reliance on outside financing raise substantial doubt about the company's ability to continue for one year. Management's listed plans include pursuing new business arrangements and growth opportunities.

What the release does not say

The release covers the name, domicile, CUSIP and trading symbol. It says nothing about how the company will fund operations over the next year, whether it plans new financing, or how the related-party balances will be settled, and it does not mention the going concern language in the annual report.
