The proposed offering
Travere Therapeutics, Inc. said on May 5, 2026 that it intends to offer $400 million of convertible senior notes due 2032 in an underwritten offering, subject to market and other conditions. The underwriters would also get a 30-day option to buy up to an additional $60 million of notes, solely to cover over-allotments. The notes would be senior unsecured obligations, and interest would be paid semiannually in arrears.
Travere may settle conversions in cash, shares or a combination, at its election. The interest rate and initial conversion rate will be set at pricing. J.P. Morgan, Jefferies and Leerink Partners are acting as joint book-running managers, and the release names J.P. Morgan Securities LLC, Jefferies LLC and Leerink Partners LLC as the firms from which prospectus copies can be obtained. It names no counsel. The release says the offering has been registered under the Securities Act of 1933 and points to a Form S-3 filed on August 1, 2024, which became effective the same day.
The 2029 notes and the hedge unwind
Travere intends to use part of the net proceeds to repurchase part of its outstanding 2.25% senior convertible notes due 2029 for cash. The company is negotiating those repurchases with certain holders, and the release gives no assurance on how much will be repurchased or at what price. The remaining proceeds would go to general corporate purposes, which may include commercialization expenses, research and development, capital expenditures, working capital and general and administrative expenses.
The release also warns about hedging. Holders of the 2029 notes who agree to a repurchase and who have hedged their equity price risk are expected to unwind those hedges at the same time as the new notes are priced. They would do so by buying Travere common stock or by entering into derivative transactions. The release says the amount of stock bought may be substantial compared with the stock's historical average daily trading volume, and that this activity may increase the effective conversion price of the new notes. Travere says it cannot predict the size of that activity or its effect on the notes or the stock.
The company and its filings
The company's 10-K, filed February 19, 2026, describes Travere as a biopharmaceutical company in rare kidney and metabolic diseases. FILSPARI (sparsentan) has full approval for IgA nephropathy, a rare progressive kidney disease. For focal segmental glomerulosclerosis, the company submitted a supplemental application in March 2025. The FDA then extended the review, and the target action date moved to April 13, 2026. The 10-K says the extension followed responses requested by the FDA to further characterize the clinical benefit of FILSPARI. The 10-K filed in February says the application remains under review. The target date had passed when this offering was announced on May 5, and the release does not mention the FDA's decision.
The 10-K also describes a pivotal Phase 3 study, HARMONY, of pegtibatinase for HCU, a genetic disorder caused by a deficiency in a pivotal enzyme. The company voluntarily paused enrollment in September 2024 to address manufacturing scale-up and restarted enrollment in the first quarter of 2026, so the pivotal data are still ahead. The company also says FILSPARI was granted full approval in IgA nephropathy in September 2024, after an accelerated approval in February 2023 based on proteinuria. It says full approval rested on long-term confirmatory results from the PROTECT Study, in which FILSPARI slowed kidney function decline over two years compared to irbesartan.
Losses and cash
The 10-K reports a net loss of $25.5 million for 2025, against $321.5 million for 2024. Cash provided by operations was $37.8 million in 2025, against cash used in operations of $237.5 million in 2024. Year-end 2024 cash and cash equivalents were $58.5 million.
Against that background, the company now proposes $400 million of new convertible debt and a cash repurchase of part of its 2029 notes, which the release says is still under negotiation. The release does not say how much of the 2029 notes are outstanding.
What comes next
Pricing will set the interest rate and the initial conversion rate. The repurchases of 2029 notes depend on negotiations that the release says have not concluded.
