The sole member of the board of The Greater Cannabis Company, Inc. approved, by unanimous written consent on July 29, 2026, the appointment of three new directors and three new officers, according to a Form 8-K filed with the Securities and Exchange Commission on July 31, 2026. The filing links the appointments to the acquisition of control of the company by Trafalgar Asset Management, LLC and to its ongoing strategic business combination initiatives. The company's financial data now uses the name Trafalgar International, Inc.

The officer appointments

Effective July 29, 2026, the board appointed Carlos Septién as chief operating officer, Michelle Cervantes Vivanco as chief financial officer and Ernesto Gómez Berjón as chief growth officer. Porfirio Sanchez Talavera continues to serve as chief executive officer, chairman of the board and director. The filing says none of the appointments was made under an arrangement with any other person, except in connection with the acquisition of control by Trafalgar Asset Management and the company's ongoing strategic business combination initiatives.

The filing states that none of the three has a family relationship with any director or executive officer of the company. It also says that, to the company's knowledge, none of them has been involved in a legal proceeding in the past ten years that Item 401(f) of Regulation S-K requires to be disclosed.

The board after the change

The three appointees will become directors only after the ten day period that follows the mailing of the Schedule 14F-1 information statement to stockholders, as required by Section 14(f) of the Securities Exchange Act of 1934 and Rule 14f-1. Once that period ends, the board will consist of Mr. Sanchez Talavera, Mr. Septién, Ms. Cervantes Vivanco and Mr. Gómez Berjón.

The new officers

Mr. Septién is chief executive officer, or director general, of the Trafalgar group in Mexico. The filing credits him with more than 45 years in Mexican banking and financial services, including roles at Banco Azteca, Banorte and Banamex, and it notes that he sits on the board of Sanfer-Invekra.

Ms. Cervantes Vivanco is executive vice president and consejera delegada of the Trafalgar group in Mexico. Since 2019 she has been chief financial officer across the group's fintech ecosystem, which includes a CNBV-regulated electronic payment funds institution and a CNBV-licensed sociedad financiera popular. The filing says she was at Banorte from 2003 to 2016 and at BanBajío from 2016 to 2019, most recently as a director.

Mr. Gómez Berjón has served since 2026 as chief revenue officer of the Trafalgar group. Since September 2021 he has been founder and chief executive officer of ERGO Capital, an advisory firm for debt capital markets, which the filing says is the exclusive Latin American representative of Sivo, a U.S. debt capital platform for lenders.

Financial position

The financial data tied to the company's annual report show a net income (loss) of negative $331,612 for the fiscal year ended December 31, 2025, compared with negative $179,041 for 2024. Cash from operations was negative $60,153 in 2025 and negative $109,491 in 2024. The sources available at the announcement date give no cash balance and no revenue figure, against cash used in operations of $60,153 for 2025.

What comes next

The filing says none of the new officers or directors has entered into a compensation plan with the company, and none presently receives a salary, bonus or equity award. The next formal step is the expiry of the ten day notice period, after which the new directors take their seats. The filing gives no other date. It describes no acquisition that has been signed, even though the six appointees are tied to the company's strategic business combination initiatives, and it does not say how the company will pay for them.
