Theriva Biologics, Inc. (NYSE American: TOVX) reported in a Form 8-K dated June 5, 2026 that its special meeting of stockholders could not be held. The company called the meeting to order that day, but not enough shares were present or represented by proxy to make a quorum. As a result, the company was not able to convene the meeting.

What the meeting was for

The special meeting was called to seek stockholder approval of a warrant exercise proposal and an adjournment proposal. Both are set out in the definitive proxy statement the company filed with the Securities and Exchange Commission on April 30, 2026. The approval would allow the issuance of up to an aggregate of 16,184,560 shares of common stock on the exercise of certain warrants.

Those warrants were issued under an inducement agreement dated October 16, 2025, between the company and certain institutional investors. Under that agreement, the company agreed to use its reasonable best efforts to call a stockholder meeting within 60 days after the closing of the transactions it contemplated, to seek approval of the share issuance.

What the company must do next

The company says it intends to call a new meeting of stockholders to seek the same approvals. It also intends to file proxy materials with the SEC and mail them to stockholders, and those materials will include the date and time of the new meeting, as required. No date for the new meeting appears in the filing.

Because the meeting did not convene, the company will be required under the inducement agreement to keep calling an additional stockholder meeting every 60 days. That continues until stockholder approval is obtained or the warrants are no longer outstanding, unless the investors waive the requirement. The filing is signed by Steven A. Shallcross, who is listed as both Chief Executive Officer and Chief Financial Officer.

The company

Theriva describes itself as a diversified clinical-stage company developing therapeutics for cancer and related diseases in areas of high unmet need. The company is a Nevada corporation headquartered at 9605 Medical Center Drive, Suite 270, Rockville, Maryland 20850, and its common stock trades on the NYSE American under the symbol TOVX. It acquired Theriva Biologics, S.L., formerly VCN Biosciences, S.L., in March 2022, which moved its strategic focus to oncology. Its lead clinical-stage candidate, VCN-01, is an oncolytic human adenovirus that is modified for tumor-selective replication and to express the enzyme PH20 hyaluronidase. The annual report describes Phase 2b testing of VCN-01 in pancreatic cancer and Phase 1 testing in retinoblastoma.

Before the 2022 acquisition, the company focused on gastrointestinal diseases. Its SYN-004 (ribaxamase) program is designed to degrade certain intravenous beta-lactam antibiotics in the gut, and an exploratory trial in allogeneic hematopoietic cell transplant recipients is pending funding. In February 2026, the company granted Rasayana Therapeutics, Inc. an exclusive worldwide license to SYN-020, and Rasayana assumes responsibility and costs for its development and commercialization.

Financial position

The annual report shows research and development expense of $8.6 million for 2025, compared with $12.0 million for 2024. Cash from operations was negative $16.7 million in 2025 and negative $16.9 million in 2024. Year-end cash and cash equivalents were $11.6 million at the end of 2024.

The risks ahead

The company still lacks the stockholder approval it sought, and the filing gives no date for a new meeting. Until approval comes or the warrants are no longer outstanding, it must keep calling meetings every 60 days unless the investors waive that. If approved, the warrants could add up to 16,184,560 shares of common stock, which would dilute current holders. Cash from operations was negative $16.7 million in 2025, against year-end 2024 cash and cash equivalents of $11.6 million, and the filings say a SYN-004 trial is pending funding.
