The offering
Teleflex Incorporated (NYSE: TFX) announced on June 1, 2026, from Wayne, Pennsylvania, that it priced a private offering of $500.0 million aggregate principal amount of 5.875% senior notes due 2032 at an issue price of 100.000%. That is par, so the notes were sold with no discount to face value. The sale of the notes is expected to close on June 15, 2026, subject to customary closing conditions. The release was furnished as an exhibit to a Form 8-K. The contact named on it is Lawrence Keusch, vice president of investor relations and strategy development.
The notes will be guaranteed by each of Teleflex's existing and future wholly-owned domestic subsidiaries that is a guarantor or other obligor under its credit agreement and certain other indebtedness. The release does not say whether the notes are secured, and it gives no maturity month, interest payment dates or call terms.
Use of proceeds
Teleflex says it intends to use the net proceeds from the offering, together with cash on hand, to redeem all of its outstanding 4.625% Senior Notes due 2027. The new notes carry a coupon of 5.875%, against 4.625% on the notes they are meant to replace. The release does not say how much of the 2027 Notes is outstanding, how much cash on hand will go into the redemption, what the redemption price will be, or when the redemption will take place. It also states that it is not an offer to purchase, or a solicitation of an offer to sell, the 2027 Notes. No redemption notice accompanies the announcement. The company describes both the use of proceeds and the redemption as intentions, not completed steps.
How the notes are sold
The offering is a private transaction that relies on an exemption from the registration requirements of the Securities Act of 1933. In the United States it is open only to investors reasonably believed to be qualified institutional buyers, as defined in Rule 144A. Outside the United States it is open to certain non-U.S. persons under Regulation S. The notes and the related guarantees have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction. They may not be offered or sold in the United States without registration or an applicable exemption.
The release names no initial purchasers, banks, placement agents, lenders or financial advisors. It does not name counsel to the company or to the buyers. The Form 8-K therefore does not show who arranged the sale or what fees the company will pay.
The company behind the notes
Teleflex describes itself as a global provider of medical technologies designed to improve the health and quality of people's lives. The release lists nine brands: Arrow, Barrigel, Deknatel, LMA, Pilling, QuikClot, Rusch, UroLift and Weck.
Annual figures from the 10-K filed on February 27, 2026 show a company that grew in revenue but swung to a large loss. Teleflex reported revenue of $1.99 billion for the fiscal year ended December 31, 2025, up from $1.70 billion in 2024. Research and development expense was $144.8 million, compared with $109.0 million. The company reported a net loss of $905.6 million for 2025, after net income of $69.7 million in 2024. Neither the release nor the financial data summary gives a reason for the swing. At the end of 2024, cash and cash equivalents were $247.9 million.
