The agreement and the banks

Teleflex Incorporated signed a Credit Agreement dated as of May 26, 2026 with its guarantors, a group of lenders and JPMorgan Chase Bank, N.A., which acts as administrative agent. The agreement was filed as Exhibit 10.1 to a Form 8-K. The bank group is large. The cover page names nine joint lead arrangers: JPMorgan Chase Bank, N.A., Bank of America, N.A., PNC Capital Markets LLC, HSBC Securities (USA) Inc., Wells Fargo Securities, LLC, Sumitomo Mitsui Banking Corporation, DNB Carnegie, Inc., Citizens Bank, N.A. and U.S. Bank National Association. The first six of those also serve as joint bookrunners.

Bank of America, N.A., PNC Bank, National Association, HSBC Securities (USA) Inc., Wells Fargo Bank, National Association and Sumitomo Mitsui Banking Corporation are co-syndication agents. DNB Bank ASA, New York Branch, Citizens Bank, N.A. and U.S. Bank National Association are co-documentation agents. The senior managing agents are Santander Bank, N.A., Fifth Third Bank, National Association, First National Bank of Pennsylvania, Truist Bank, Flagstar Bank, N.A. and Citibank, N.A. The exhibit names no separate placement agent or financial advisor.

What the credit lines look like

The table of contents shows a facility with revolving credit commitments, swingline loans, letters of credit, a competitive bid procedure, Term A-1 loans and Term A-2 loans. It also provides for incremental commitments and for extensions of maturity dates. Borrowings can be made in dollars and in four other currencies: euro, Pounds Sterling, Swiss Francs and Yen. The commitment amounts sit in Schedule 2.01A, which is not reproduced in the text of the exhibit.

Pricing runs on a six-level grid, set by the company's leverage level or its credit ratings, whichever the company elects by written notice to the agent. At Level I the commitment fee is 0.15%, the Term Benchmark and RFR spread is 1.125% and the ABR spread is 0.125%. At Level VI the commitment fee is 0.35%, the Term Benchmark and RFR spread is 2.00% and the ABR spread is 1.00%. The rate on any benchmark loan cannot fall below a stated floor.

The Applicable Prepayment Percentage is 100%, but for net cash proceeds from asset sales and casualty events it depends on leverage. It is 100% if the consolidated total net leverage ratio is greater than 4.00 to 1.00, 50% if the ratio is 4.00 to 1.00 or lower and greater than 3.50 to 1.00, and 0% at 3.50 to 1.00 or lower.

The asset sales written into the terms

The definitions show the terms are built around pending asset sales. The agreement refers to the planned sale of Teleflex's acute care and interventional urology businesses, under an Equity Purchase Agreement dated December 9, 2025 among Lotus US Bidco Inc. and Teleflex, among others. It also refers to an OEM disposition. Several dollar thresholds step up depending on whether those sales are abandoned or completed. The Applicable Consolidated Total Assets Amount is $5,800,000,000 until the earliest of the acute care termination, the OEM termination and the dispositions termination, and $6,950,000,000 after the dispositions termination date. The Applicable EBITDA Dollar Amount moves from $190,000,000 to $280,000,000, and the Applicable Fixed Dollar Amount from $633,000,000 to $932,000,000. The exhibit text provided here does not show which baskets those amounts control.

The table of contents lists a financial covenants section, events of default, a guarantee article, a form of pledge agreement and a section terminating commitments under the existing credit agreement. Those sections fall outside the text reproduced here, so their terms are not described.

The borrower's finances

The 10-K filed February 27, 2026 reports revenue of $1.99 billion for 2025, up from $1.70 billion in 2024. Research and development expense was $144.8 million, compared with $109.0 million. The company reported a net loss of $905.6 million for 2025, after net income of $69.7 million for 2024. The figures used here do not explain the swing. Year-end cash and cash equivalents were $247.9 million at the end of 2024.
