Taysha Gene Therapies, Inc. (Nasdaq: TSHA) signed an underwriting agreement on May 28, 2025 for an underwritten public offering. The company will sell 46,868,687 shares of common stock and pre-funded warrants to buy 25,858,586 more shares, at a public price of $2.75 per share and $2.749 per warrant. The company disclosed the terms in a Form 8-K filed May 29, 2025. The filing names no lawsuit and no defendant. Its litigation language is a generic caveat in the forward-looking statements.

Underwriters and counsel

Jefferies LLC, BofA Securities, Inc., Piper Sandler & Co. and Barclays Capital Inc. are the representatives of the underwriters named in the agreement. The press release calls Jefferies, BofA Securities, Piper Sandler and Barclays the joint book-running managers. The underwriters will buy the shares at $2.585 each and the pre-funded warrants at $2.584 each. Cooley LLP gave the opinion on the legality of the securities, filed as Exhibit 5.1. The press release launching the deal was issued on May 28, 2025, and the 8-K expects the offering to close on May 30, 2025. The offering uses an effective Form S-3 shelf registration statement, File No. 333-283801, and a prospectus supplement.

The company granted the underwriters a 30-day option to buy up to 10,909,090 more shares. Taysha estimates net proceeds of about $187.4 million from the base offering, or about $215.6 million if the option is exercised in full. The 8-K does not separate the underwriting discount from the offering expenses in the estimate.

The pre-funded warrants

Investors who prefer not to hold common stock can take pre-funded warrants in its place. The $2.749 warrant price is the $2.75 share price less the $0.001 exercise price. The warrants carry an ownership cap of 4.99% or 9.99% of the common stock, as the warrant specifies. A holder can raise or lower that cap on 61 days' notice, but not above 19.99%.

Pre-funded warrants let an investor participate without holding stock until a later date. They also mean that the number of shares that could eventually be issued is larger than the number of shares sold on the day.

Runway and the company's claims

Taysha says the net proceeds, together with its existing cash and cash equivalents, will be sufficient to fund operating expenses and capital expenditure requirements into 2028. The 8-K does not state the amount of that existing cash, so the runway claim cannot be checked against a balance.

The lead program

Taysha describes itself as a clinical-stage biotechnology company developing adeno-associated virus gene therapies for severe monogenic diseases of the central nervous system. Its lead clinical program, TSHA-102, is in development for Rett syndrome, a rare neurodevelopmental disorder. The company says it uses an AAV9 capsid that it calls commercially proven.

The 8-K's own forward-looking statements say the company's expectations for TSHA-102 depend on the "reproducibility and durability of any favorable results initially seen in patients dosed to date in clinical trials." The release gives no patient numbers, dose levels or safety data, so the strength of those early results cannot be judged from the 8-K or the release. The filing also lists the timing of regulatory submissions and communications with the FDA on the regulatory pathway for TSHA-102 as open items.

Astellas option

The 8-K lists the possible exercise by Audentes Therapeutics, Inc., doing business as Astellas Gene Therapy, of options under an option agreement dated October 21, 2022. The filing does not state whether Astellas has indicated it will exercise, or what the option would bring to Taysha.

Who is named

Chief Financial Officer Kamran Alam signed the 8-K. The press release names Hayleigh Collins as company contact. Taysha is a Delaware corporation with executive offices at Pegasus Park in Dallas, Texas.

The 8-K and the press release do not give Taysha's cash or net loss before the offering. The dilution from 46,868,687 shares, the warrant shares and the option shares therefore cannot be set against the company's finances.
