Supernus Pharmaceuticals, Inc. (Nasdaq: SUPN) agreed on April 1, 2026 to buy assets tied to the compound NV-5138, also called SPN-820, from Navitor Pharmaceuticals, Inc. and its parent, Navitor Pharmaceuticals, LLC. The Form 8-K, signed by Chief Financial Officer Timothy C. Dec on April 7, 2026, reports the agreement under Item 1.01. The asset purchase agreement is Exhibit 2.1.
What Supernus gets
The purchased assets include intellectual property rights of any kind, inventory and manufacturing materials, regulatory and clinical materials, permits, data and records, certain contract rights and related goodwill, all related to the compound. Supernus also takes the sellers' related warranty and indemnity rights against third parties.
What Supernus pays
The filing says the purchase price consists of two obligations. Supernus must effect and complete one Phase 2b study, and it must make several milestone payments of up to $350 million, contingent on specified development, regulatory and commercial milestones. The 8-K does not describe a cash payment at signing. Milestone payments are owed only when the milestones are reached, so $350 million is a ceiling and not a sum already committed. The exhibit lists the triggers, with amounts redacted: two positive Phase 3 studies, FDA acceptance of an NDA, NDA approval, approval in certain other territories, and three annual net sales thresholds. The sellers may assign or monetize the payments with Supernus's consent.
Supernus agreed to use commercially reasonable efforts to achieve the milestones. The exception matters. After the Phase 2 study is complete, if Supernus determines in its sole reasonable discretion that the study was not successful, it has no further obligation to pursue the milestones or to commercialize the compound. The milestone ceiling therefore depends on the company's own judgment about the study. The agreement leaves the study's design and endpoints to Supernus's sole discretion, so there is no outside test of success.
Indemnities and restrictions
Each party agreed to indemnify the other for losses from breaches of representations, warranties and covenants. Supernus may offset losses it is owed against milestone payments not yet paid to the sellers, and it may recover against milestone payments already made. The agreement also imposes a five-year post-closing non-competition and non-solicitation covenant on the Restricted Parties.
A deal built on an earlier study
The asset purchase agreement carries out a 2020 arrangement. The exhibit states that on April 21, 2020, Supernus and Navitor signed a Development and Option Agreement. The companies jointly conducted a Phase 2b study under an agreed development plan, Supernus provided research and development support, and Navitor granted Supernus an exclusive option to license or purchase the product intellectual property.
A Binding Memorandum of Understanding dated May 5, 2025 followed, after the results of the Phase 2b study. Under it, Supernus exercised the option, and the parties amended the option terms, including a waiver of the Initial Acquisition Fee. The exhibit does not describe those results. The exhibit says that, after review, Supernus chose to buy certain assets of the sellers rather than their equity.
The company's finances
The 10-K filed March 2, 2026 reports research and development expense of $106.2 million for 2025, against $108.8 million in 2024. Supernus posted a net loss of $38.5 million for 2025, after net income of $73.9 million in 2024. Cash provided by operations fell to $47.3 million in 2025 from $172.0 million in 2024.
Neither the 8-K nor the exhibit gives Supernus's cash balance at the end of 2025. The company is taking on a milestone commitment of up to $350 million, plus a study, after a year in which operating cash flow dropped sharply.
The parties and the omitted terms
The exhibit describes Supernus as a public, CNS specialty pharmaceutical company with assets in neurology and a late-stage pipeline in psychiatry. The sellers are Navitor Pharmaceuticals, Inc., a Delaware corporation, and Navitor Pharmaceuticals, LLC, a Delaware limited liability company.
Parts of the exhibit are marked with asterisks and omitted because the company says they are not material and would be competitively harmful if disclosed. The filed terms are therefore not complete, and the price, the study design and the milestone amounts are only partly described in the public text.
