Spero Therapeutics, Inc. (Nasdaq: SPRO) said in its 10-Q filed Aug 12, 2026 that the SEC has concluded its investigation into the company without recommending an enforcement action against it. The investigation concerned Spero's public disclosures about tebipenem pivoxil in 2022. Spero had responded on January 9, 2025 to a Wells Notice addressed to the company, its former Chief Executive Officer Ankit Mahadevia, M.D., and its former Chief Financial Officer Satyavrat "Sath" Shukla.

The SEC did act against the two individuals. On January 16, 2026 it issued a settled order against Mahadevia and Shukla (Release No. 11400, File No. 3-22577). The SEC found that they violated Section 17(a)(2) of the Securities Act. Spero received the SEC's closing letter on January 20, 2026.

The case

The Wells Notice concerned disclosures from March 31, 2022 leading up to Spero's May 3, 2022 announcement that it would cease commercialization of tebipenem pivoxil based on FDA feedback. A Wells Notice is neither a formal charge nor a final determination. It is a preliminary staff view that the SEC should bring a civil action or administrative proceeding.

In the order, the SEC found that at a February 8, 2022 mid-cycle meeting the FDA review team raised concerns about patients included in the analysis of Spero's Phase 3 trial. It found that Spero's 10-K filed March 31, 2022, which Mahadevia and Shukla reviewed, approved, signed and certified, omitted the FDA's specific concern. It found that Spero's stock price closed down 64% on May 3, 2022, the day Spero disclosed the FDA's analysis. These are the SEC's findings, made under settlement offers, and the order says they are not binding on any other person or entity.

Defendants

The respondents in the SEC order were Ankit Mahadevia and Satyavrat Shukla. According to the order, Mahadevia was Spero's President and Chief Executive Officer from 2016 to 2023 and chairman of the board from 2023 to January 2025. Shukla was chief financial officer from 2021 to 2023 and President and Chief Executive Officer from 2023 to January 2025. Spero was a Wells Notice recipient but is not a respondent.

Where it stands

The order directs both men to cease and desist from violating Section 17(a)(2). Mahadevia was ordered to pay a civil money penalty of $112,500 and Shukla $75,000, each within 30 days. Both consented without admitting or denying the findings, except as to jurisdiction.

The SEC's letter to Spero says that, based on information as of its date, the SEC does not intend to recommend an enforcement action against the company at this time. The letter was provided under the guidelines in the final paragraph of Securities Act Release No. 5310. Shukla resigned from the board effective May 2, 2025. Mahadevia resigned from the board effective January 30, 2026, per an 8-K filed that day, which says the resignation was due to his other professional commitments and not to any dispute or disagreement. Spero and Mahadevia intend to enter into a consulting agreement.

Why it matters to shareholders

The 10-Q says the process resulted in legal expenses and certain liabilities for the company and the named individuals. As directors or officers when the investigation began, they are entitled to indemnification for certain costs. Spero has a general liability insurance policy that covers certain expenses and liabilities of its directors and officers, but the total cost and the amount insurance will cover are unknown. Spero has not accrued any liabilities for these indemnification obligations as of June 30, 2026 or December 31, 2025.

The 10-Q's legal proceedings item lists only this SEC matter.
