SINTX Technologies, Inc. (Nasdaq: SINT) received a letter from Nasdaq on May 22, 2026 saying it does not meet the minimum stockholders' equity requirement for continued listing on The Nasdaq Capital Market. The company reported the notice in a Form 8-K filed May 27, 2026 under Item 3.01, which covers notices of a failure to meet a continued listing rule. Under the notice, SINTX has until July 6, 2026 to submit a plan to regain compliance.
The rule and the numbers
Nasdaq Listing Rule 5550(b)(1) requires companies on the Capital Market to keep at least $2.5 million of stockholders' equity. SINTX reported stockholders' equity of approximately $904,000 in its quarterly report on Form 10-Q for the quarter ended March 31, 2026. The notice says the company also fails the alternative standards, which require either a market value of listed securities of at least $35,000,000 or net income from continuing operations of $500,000 in the latest fiscal year or in two of the last three years.
The filing says the notice has no immediate effect on the listing or trading of the common stock.
The plan and the deadline
SINTX has 45 calendar days, until July 6, 2026, to submit a plan. If Nasdaq accepts it, the exchange may grant an extension of up to 180 calendar days from the date of the notice to show compliance. The company says it intends to submit its plan on time.
Financing and the going-concern warning
SINTX says it has been pursuing financing and other strategic steps to strengthen its balance sheet and raise stockholders' equity. It says it is in discussions about a potential equity financing, and adds that there can be no assurance that such a transaction will be completed or that it will regain compliance with the Nasdaq rule.
The auditor's report in the company's annual report on Form 10-K for 2025 includes a going-concern paragraph. The auditor says the company has recurring losses from operations and negative operating cash flows and needs additional financing, and that these matters raise substantial doubt about its ability to continue as a going concern.
The annual report shows a net loss of $10.4 million for 2025 and $11.0 million for 2024. Cash used in operations was $8.6 million in each year. The accumulated deficit reached $292.1 million at December 31, 2025, up from $281.7 million a year earlier. The report says the company will require substantial future capital to keep operating, and it warns that new equity issued to raise money could dilute existing stockholders.
The business behind the losses
SINTX describes itself in the annual report as an advanced ceramics company formed in December 1996. It develops and makes silicon nitride biomaterials, composites and devices for medical and other high-value uses. Its products have been implanted in humans since 2008, in the U.S., Europe, South America and Asia.
The report says that in October 2025 the U.S. Food and Drug Administration cleared its SiNAPTIC Foot & Ankle Osteotomy Wedge System under the 510(k) process, which the company says enables its commercial entry into reconstructive foot and ankle surgery in the United States. The report gives no sales figures for the product. Set against losses and a going-concern warning, the clearance is a step toward revenue, not evidence of it yet.
Who signed
Eric K. Olson, Chief Executive Officer, signed the 8-K. He is also Chairman of the Board. The board has six members, including Gregg Honigblum, who is Chief Investment Officer.
