Silo Pharma, Inc. (Nasdaq: SILO) said on December 29, 2025 that Nasdaq has given it a second compliance period to fix a minimum bid price deficiency. The company reported the extension in a Form 8-K under Item 3.01. It had missed its first deadline of December 24, 2025, and now has until June 22, 2026.
How the deficiency began
Silo first disclosed the problem in an 8-K filed June 27, 2025. Nasdaq's notification letter said the company was not in compliance with the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market. That rule requires a minimum bid price of $1.00 per share. Under Rule 5810(c)(3)(A), a failure exists when the deficiency continues for 30 consecutive business days. Silo was then given 180 calendar days, until December 24, 2025, to regain compliance, and it did not do so by that date.
What the extension requires
The company received a letter that it calls the Extension Notice on December 24, 2025. It says Nasdaq granted the company's request for an additional 180 calendar days, until June 22, 2026. The decision rests on Silo meeting the market value of publicly held shares requirement and the other initial listing standards for the Capital Market, apart from the bid price test. Silo also gave written notice that it intends to cure the deficiency during the second compliance period, by effecting a reverse stock split if necessary.
The Extension Notice does not change the listing. The stock keeps trading on the Capital Market under SILO. The bid price must close at or above $1.00 for at least 10 consecutive business days before June 22, 2026 for Nasdaq to confirm compliance. If compliance is not shown by that date, Nasdaq will notify Silo that its stock will be delisted. The company could then appeal to a Hearings Panel.
The company says it intends to monitor the closing bid price and may consider a reverse stock split during the second compliance period. A reverse stock split combines existing shares into a smaller number of shares. The 8-K does not give the closing bid price on any date, the current share count, or the cost of a split.
Losses and cash
The company's annual report, filed March 28, 2025, shows an accumulated deficit of $15,264,691 at December 31, 2024 and working capital of $5,455,483. The report says that positive working capital mitigates the conditions that historically raised substantial doubt about Silo's ability to continue as a going concern, and that the company believes it has sufficient cash to meet its obligations for a minimum of twelve months from the date of that filing. The report describes Silo as a developmental stage biopharmaceutical company, and the figures are a year old at the date of the extension notice.
The pipeline
The annual report describes Silo as developing novel therapeutics for underserved conditions, including PTSD, stress-induced anxiety disorders, fibromyalgia and central nervous system diseases. It says the company works on both conventional drugs and psychedelic formulations.
Its lead program, SPC-15, is an intranasal drug targeting PTSD and stress-induced anxiety disorders. SP-26 is a time-release, ketamine-based loaded implant for fibromyalgia and chronic pain relief. The report calls SPC-14, an intranasal compound for Alzheimer's disease, and SPU-16, a central nervous system-homing peptide with an initial research indication in multiple sclerosis, its two preclinical programs. The report describes both as preclinical.
The report also describes a strategy of licensing intellectual property from universities and researchers, including psychedelic compounds such as psilocybin and ketamine. It notes that psilocybin remains a Schedule I substance under the Controlled Substances Act, and that the FDA and the Drug Enforcement Administration have allowed its use in clinical studies.
