Silexion Therapeutics regains Nasdaq equity and bid-price compliance

Tickers SLXN

Nasdaq's September 23, 2025 letter confirmed that Silexion meets its $2.5 million shareholders' equity rule and its $1.00 bid-price rule. The company is now under a mandatory panel monitor until September 23, 2026, and one more equity failure in that period would lead to a delisting determination.

Silexion Therapeutics Corp received a letter from The Nasdaq Stock Market LLC on September 23, 2025 confirming that it has regained compliance with two listing requirements. The company reported the letter in a Form 8-K dated September 25, 2025. The first requirement, Listing Rule 5550(b)(1), requires shareholders' equity of at least $2.5 million on the Nasdaq Capital Market. The second, Listing Rule 5550(a)(2), requires a closing bid price of at least $1.00 per share. The company, an emerging growth company based in Ramat-Gan, Israel, trades under the symbol SLXN, and its warrants trade under SLXNW. The 8-K is signed by Chief Executive Officer Ilan Hadar.

How the company got there

Nasdaq had previously granted Silexion's request to remain listed after a hearing before the Nasdaq Hearings Panel on June 26, 2025. In a decision letter dated July 7, 2025, the panel allowed continued listing subject to the company showing compliance with the equity requirement by September 19, 2025.

On July 18, 2025, the Nasdaq Listing Qualifications staff also wrote to the company. The staff said the closing bid price had been below $1.00 for the 30 consecutive business days before that letter. The staff said the panel would consider the bid price deficiency in deciding whether to let the company stay listed.

The company held its reconvened annual general meeting on July 14, 2025. Shareholders approved a reverse split, and the company effected a 1-for-15 reverse share split on July 29, 2025. The company says the closing price has been above $1.00 since then, so the bid price compliance followed the reverse split.

The equity figure

The 8-K says a series of financing transactions increased shareholders' equity on a pro forma basis, as of July 31, 2025, by $10.3 million, to about $9.41 million as of September 15, 2025. The figure is a pro forma estimate rather than a reported balance. The 8-K does not give an audited balance sheet, and the 8-K's cover page still lists the SLXNW warrants as exercisable at $1,552.50 per share.

The panel monitor

Because the company regained compliance with the equity requirement under a panel decision, it is now subject to a mandatory panel monitor under Listing Rule 5815(d)(4)(B) until September 23, 2026. If Nasdaq staff find the company out of compliance with the equity requirement again during that year, the company would not be allowed to submit a compliance plan or receive more time. Instead, staff would issue a Delist Determination Letter, and the company could request a new hearing before the original panel or a newly convened one if the original panel is unavailable.

The business

Silexion describes itself as a clinical-stage, oncology-focused biotechnology company developing treatments for KRAS-driven cancers. The company's annual report, filed March 18, 2025, says its lead product candidate, SIL204, is a locally administered small interfering RNA solution. It is intended as a first-line treatment for locally advanced pancreatic cancer, given with standard-of-care chemotherapy.

The company became public through a business combination with Moringa Acquisition Corp, completed on August 15, 2024. Before the deal, it was known as Biomotion Sciences. The annual report says the company is developing a platform to silence the KRAS oncogene in refractory solid tumors with RNA interference therapeutics.

What the 8-K leaves open

The 8-K confirms compliance as of its letter date but does not say what the company's equity will be after the panel monitor period ends. It also does not say what the company will do if equity falls again. The company's cash position and its need for further financing are not given in this filing.
