Silexion Therapeutics Corp shareholders approved two proposals at an extraordinary general meeting on October 26, 2026, after the meeting had been adjourned on October 19, 2026 for lack of a quorum. The company reported the results under Items 5.03 and 5.07 of a Form 8-K dated October 26, 2026, signed by Chief Executive Officer Ilan Hadar, with the memorandum amendment attached as Exhibit 3.1. The company trades on Nasdaq under the symbol SLXN, and its warrants trade under SLXNW. The 8-K lists the warrants' exercise price as $15,525.00 per share.

The quorum

At the reconvened meeting, holders of 2,697,489 ordinary shares, about 18.6% of the issued and outstanding shares, attended in person or by proxy. Only holders of about 18.6% of the shares were present, so both approvals reflect a minority of the issued shares. Under Article 21.3 of the articles, a quorum is normally a majority of the issued and outstanding shares. The articles allow the shareholders present to transact business if a half hour passes without a quorum after the scheduled start, and the 8-K says the shareholders present constituted a quorum on that basis.

The share increase

The first proposal raises authorized share capital by 500,000,000 ordinary shares, from US$2,146,500 divided into 15,900,000 shares to US$69,646,500 divided into 515,900,000 shares. Each share has a par value of US$0.135. The vote was 2,567,677 in favor, or 95.4% of votes cast excluding abstentions, and 124,151 against, or 4.6%. There were 5,661 abstentions. The memorandum amendment took effect when it was filed with the Cayman Islands Registrar of Companies on October 26, 2026.

The reverse split

The second proposal let the board effect a reverse share split within a range of 1-for-15 to 1-for-25. The board set the ratio at 1-for-24. Issued and unissued ordinary shares would be consolidated on that basis, and the par value per share would become $3.24. The vote was 2,630,320 in favor, or 97.7%, and 61,787 against, or 2.3%. There were 5,382 abstentions.

The 8-K does not say when the split would take effect, or whether the board has yet set a date for it.

The company's finances

The annual report, filed March 17, 2026, shows a 2025 net loss of $11.9 million, down from $16.5 million in 2024. Research and development expense rose to $7.1 million in 2025 from $5.8 million in 2024. Cash used in operations was $10.8 million in 2025, against $8.4 million in 2024.

The company's quarterly report filed August 14, 2026 shows year-end 2025 cash and cash equivalents of $6.0 million. At June 30, 2026, cash and cash equivalents were $2.2 million.

The business

Silexion describes itself as a clinical-stage, oncology-focused company developing RNA interference treatments for KRAS-driven cancers. Its lead candidate, SIL204, is a locally administered small interfering RNA solution for locally advanced pancreatic cancer, given with standard-of-care chemotherapy, and it combines intratumoral and systemic administration. The annual report says the company was formed through a business combination completed on August 15, 2024, after which its shares and warrants moved to the Nasdaq Capital Market, where they currently trade.

What the filing leaves open

The 8-K does not give a reason for the 500,000,000-share increase. It also does not say how many shares will be issued under it, and it does not describe any financing plan. With $2.2 million of cash at June 30, 2026 and a 2025 cash burn of $10.8 million from operations, the company's next financing is not described in the filing.
