Shuttle Pharmaceuticals Holdings, Inc. (Nasdaq: SHPH) received a Nasdaq deficiency notice on August 28, 2026, because it has not filed its Quarterly Report on Form 10-Q for the period ended June 30, 2026. The company disclosed the notice in a Form 8-K the same day. Nasdaq says the delay means the company no longer complies with Nasdaq Listing Rule 5250(c)(1), the continued listing requirement for periodic filings.
The deadline and the appeal path
The letter came from the Listing Qualifications Department of The Nasdaq Stock Market LLC. It gives Shuttle 60 calendar days, or until October 27, 2026, to submit a plan to regain compliance. If Nasdaq accepts the plan, it can grant an exception of up to 180 calendar days from the due date of the Form 10-Q, or until February 22, 2027. If Nasdaq does not accept the plan, the company can appeal to a Nasdaq hearings panel.
The company itself says there can be no assurance that Nasdaq will accept its plan, or that it will regain compliance within any extension. The 8-K ties the risk to the review of the Form 10-Q by its independent registered public accounting firm and to the company's ability to file the report. It does not say how long that review is expected to take.
Trading and the delisting risk
The company says the notice has no immediate effect on the listing or trading of its common stock. Nasdaq will broadcast an indicator of the noncompliance over its market data network. The press release says Nasdaq's list of non-compliant companies will include Shuttle beginning on approximately September 4, 2026. If the company does not regain compliance in time, its common stock will be subject to delisting from Nasdaq.
Who signed and what the company says it will do
Shuttle says it continues to work diligently to complete the Form 10-Q and intends to file it as soon as practicable. The 8-K gives Christopher Cooper's title as co-chief executive officer. The annual report signed March 31, 2026 describes him as interim chief executive officer, so the filings do not use the same title.
Money and going concern
The annual report says the company's financial statements are prepared on a going concern basis. Its auditor states that conditions raise substantial doubt about the company's ability to continue as a going concern, and the company says that ability depends on raising equity or debt financing.
The company reported a net loss of $11.7 million and no revenues for 2025, compared with a net loss of $9.1 million in 2024. Cash used in operations rose to $9.5 million from $7.3 million, and research and development expense rose to $4.1 million from $3.6 million. The report shows a working capital deficit of approximately $7.5 million at December 31, 2025, and year-end 2024 cash of $1.9 million.
The business and its obligations
Shuttle describes itself as the owner of Molecule.ai, a pharmaceutical software platform for molecular discovery and early-stage drug development. The annual report says that in tandem with the Molecule.ai asset acquisition, on November 20, 2025, the company committed to a plan to wind down clinical trials of Ropidoxuridine, its lead product candidate. It also says the company does not have any customers for the platform yet, and expects revenue from future license agreements.
The acquisition left obligations on the balance sheet. At December 31, 2025, the company showed contingent consideration payable of $2,000,000 and consideration payable of $4,435,927 for Molecule.ai. The company must raise money to cover those amounts as well as operating costs.
The press release also describes United Dogecoin, a wholly owned subsidiary that it calls a start-up digital infrastructure company focused on computing infrastructure for blockchain networks, artificial intelligence and high-performance computing. The release does not describe any revenue from that subsidiary.
