Scienture Holdings, Inc. said its chief financial officer, Eric Sherb, formally resigned on May 26, 2026. The same day, the company appointed Dr. Narasimhan Mani as Interim Chief Financial Officer. Mani already serves as a director, Co-Chief Executive Officer and President of the company. Both changes were reported in a Form 8-K dated May 29, 2026, filed under Item 5.02, which covers departures and appointments of officers and directors.

Why the CFO left

Sherb advised the company that his resignation was due to personal reasons. The filing says it was not the result of any dispute or disagreement with the company, its management or its board of directors.

The interim appointment

Mani, who is 51, became Interim Chief Financial Officer effective May 26, 2026. The filing says he has served as a director and as Co-Chief Executive Officer and President since May 2025. In those roles, he has led, managed and overseen the company's operations, including financial operations such as revenue and expense management, financial planning and analysis, and financial reporting.

The filing says Mani has no arrangements with others over his selection, no family relationships with directors or officers, and no related-party interest requiring disclosure.

Mani's employment remains subject to his existing employment agreement, as amended. The company first disclosed that agreement in a Form 8-K filed on October 24, 2025.

Mani's background

The filing describes Mani as an experienced healthcare professional who has been employed in the pharmaceutical industry for over 25 years, many of them in senior management positions. His prior roles include president and chief executive officer of Kesin Pharma Corporation, a specialty pharma company focused on commercializing specialty and brand products, and chief executive officer of Xiromed LLC, a generics and specialty drug product company. At Amneal Pharmaceuticals he was vice president, global corporate strategy and business development, leading the company's strategic initiatives across global strategy, portfolio management, business development and commercial operations.

Earlier, he was a corporate finance and strategic planning leader at Johnson & Johnson and a research scientist at Forest Laboratories and Par Pharmaceuticals. He serves on the board of Corsair Pharma, Inc., a portfolio company of New Rhein Healthcare Investors.

Mani holds a Ph.D. in pharmaceutics from the University of Georgia and an MBA in finance and marketing from Columbia Business School.

The company and its recent financial position

Scienture is a Delaware corporation with principal executive offices at 20 Austin Blvd., Commack, New York. Its common stock trades on The Nasdaq Capital Market under the symbol SCNX, with 40,630,815 shares outstanding on April 30, 2026.

The company filed its annual report on Form 10-K on March 30, 2026, and an amendment on April 30, 2026, which corrected immaterial errors in Item 7 and added Part III information. For 2025, the company reported research and development expense of $2.0 million, compared with $2.2 million in 2024. It reported a net loss of $41.5 million for 2025, compared with net income of $9.1 million for 2024. Cash used in operations was $13.4 million in 2025, compared with $14.3 million in 2024.

What the filing does not say

The filing does not say whether or when the company will name a permanent chief financial officer, and the departing CFO's reason is given only as personal. Putting the co-chief executive in the finance seat means the same person who runs the business also signs off on its numbers, and the filing describes no separate finance executive.

The change comes as the company's results have turned sharply: a net loss of $41.5 million for 2025 against net income of $9.1 million for 2024, with operations using $13.4 million of cash. The filing links the resignation to neither the loss nor the errors corrected in the annual report amendment.
