Scholar Rock filed a prospectus supplement on Aug. 6 that lets it offer up to $200 million of common stock from time to time through Jefferies LLC as sales agent. The new supplement replaces and supersedes the company's Nov. 14, 2025 prospectus supplement, and the offering under the old one has been terminated.
According to the Form 8-K, Scholar Rock has raised about $257.7 million in net proceeds through its at-the-market program so far. Goodwin Procter LLP, the company's counsel, supplied the legal opinion.
The details
The program runs under an Open Market Sale Agreement with Jefferies dated Nov. 14, 2022. The company decides at its sole discretion when and how much to offer, through its sales agent, rather than in a single underwritten deal.
The shares are registered under a shelf registration statement on Form S-3ASR filed in October 2024, which became automatically effective upon filing.
The company did not say how much of the new $200 million it expects to use. In the second quarter, it had $62.8 million of net proceeds from the program, and in the first quarter it reported $98 million in net cash proceeds from it, along with $100 million of additional debt.
Context
Scholar Rock has no product revenue and a net loss of about $110 million a quarter. The 10-Q says cash of $492.1 million is enough to fund operations into the second half of 2027, but that it will require more capital to complete development and commercialization of its programs.
The company also borrows. It had received $200.0 million of term loans from Blue Owl funds under a February 2026 financing agreement, with up to $150.0 million more available after FDA approval of apitegromab for SMA.
The new program was filed with the FDA decision pending.
What it means for investors
At-the-market programs are a flexible, low-cost way to raise money, but existing shareholders absorb the dilution. Shares outstanding rise each time the company sells.
The size of the program, $200 million, is about two quarters of the company's recent quarterly net loss of $109.9 million. That scale suggests Scholar Rock wants to keep the option open as it launches. A successful launch could reduce the need to use it; a weak one would raise it.
Investors should also separate financing flexibility from need. The company has a loan facility with an extra $150.0 million that becomes available on approval, and it holds cash for more than a year of operations. The ATM supplies an additional source rather than a sign of near-term strain.
What to watch
Scholar Rock's next quarterly report will show how much stock it sold under the program during the third quarter. The 10-Q for that period will also show whether the delayed-draw term loan was used after the Sept. 11 approval.
