Sarepta Therapeutics, Inc. (Nasdaq: SRPT) reported in its 10-Q filed August 5, 2026 that a putative securities class action filed on June 26, 2025 in the U.S. District Court for the Southern District of New York is now before a federal court in Massachusetts. The original complaint named Sarepta, former chief executive officer Douglas Ingram, former chief customer officer Dallan Murray and Louise Rodino-Klapac, president of research and development and technical operations. The 10-Q gives no case number.

An amended complaint filed January 22, 2026 removed Murray and added Ian Estepan, president and chief operating officer. Five related derivative suits are also pending, with Sarepta as nominal defendant. They name directors M. Kathleen Behrens, Richard J. Barry, Kathryn Boor, Michael Chambers, Deirdre Connelly, Stephen L. Mayo, Claude Nicaise and Hans Wigzell, along with Ingram, Murray and Rodino-Klapac. The newest suit drops Murray and adds Estepan.

The case

The complaint alleges violations of the Securities Exchange Act of 1934 and Rule 10b-5 over disclosures about Elevidys safety and efficacy and the company's financial statements and projections. The amended complaint covers purchasers between June 22, 2023 and November 3, 2025. It adds allegations that Sarepta made false or misleading statements about the safety profile of Elevidys and limb-girdle muscular dystrophy therapies that use the AAVrh74 viral vector, the status of those therapies' development, and the ESSENCE trial. The complaint seeks unspecified damages.

Defendants

Securities action: Sarepta, Douglas Ingram, Louise Rodino-Klapac and Ian Estepan. Dallan Murray was removed in the amended complaint. Ingram retired as chief executive officer on July 28, 2026, and Michael Severino succeeded him.

Derivative suits: three suits filed in New York in 2025 name directors M. Kathleen Behrens, Richard J. Barry, Kathryn Boor, Michael Chambers, Deirdre Connelly, Stephen L. Mayo, Claude Nicaise and Hans Wigzell, plus Ingram, Murray and Rodino-Klapac. Sarepta is a nominal defendant. A Massachusetts derivative suit filed April 7, 2026 names the same individuals. A second one, filed July 23, 2026, names the same individuals except Murray and adds Estepan.

Where it stands

The court appointed lead plaintiffs and counsel on October 17, 2025, and the case moved to Massachusetts on November 6, 2025. Sarepta and the named defendants moved to dismiss the amended complaint on March 9, 2026. Oral argument was held on August 4, 2026. The 10-Q reports no ruling.

The New York derivative suits were consolidated on October 10, 2025 and stayed on November 17, 2025 until the securities action is resolved. They allege breach of fiduciary duty and Section 14(a) violations tied to the 2024 and 2025 proxy statements. The first Massachusetts suit was stayed on June 22, 2026, and that stay will apply to later derivative suits filed there. Those suits add claims about the 2025 proxy, a November 2024 stock repurchase and director stock sales. The New York suits seek unspecified damages, including costs incurred in defending the securities action, and two of them also seek governance reforms. The Massachusetts suits seek unspecified damages and governance reforms.

Related matters

The 10-Q describes patent suits by REGENXBIO, Inc. and the Trustees of the University of Pennsylvania, one filed September 15, 2020 and one filed June 20, 2023. On September 23, 2026, Sarepta, Sarepta Therapeutics Three, LLC, REGENXBIO, UPenn and Catalent, Inc. signed a settlement. Sarepta will pay REGENXBIO a lump sum of $39.0 million, and the litigations will be dismissed with prejudice with no admission of liability. The 10-Q also describes patent suits with Nippon Shinyaku and Genzyme Corporation.

Why it matters to shareholders

Sarepta recorded a $39.0 million litigation contingency charge in the quarter ended June 30, 2026 for the patent matters. Apart from that charge, it says it has not recorded material accruals for loss contingencies. It also says no material range of loss is estimable for the other matters. The filings do not say whether insurance covers the class action or the derivative suits.
