Rocket Pharmaceuticals, Inc. (Nasdaq: RCKT) completed the sale of its Rare Pediatric Disease Priority Review Voucher on June 10, 2026 and received gross proceeds of $180.0 million. The buyer is described only as a large pharmaceutical company. Rocket reported the closing in a Form 8-K filed June 12, 2026, together with a press release.

What the filing says

Under Item 2.01, Rocket reports that it completed the previously disclosed sale of the voucher, which the filing calls the Asset Sale. The voucher was issued with the FDA's approval of the company's biologics license application for KRESLADI (marnetegragene autotemcel). KRESLADI is an autologous hematopoietic stem cell-based gene therapy for pediatric patients with severe leukocyte adhesion deficiency-I (LAD-I) due to biallelic variants in ITGB2 who have no available human leukocyte antigen-matched sibling donor for allogeneic hematopoietic stem cell transplant.

The sale was made under an asset purchase agreement dated April 26, 2026. Rocket received the $180.0 million from the buyer when the sale closed. It plans to file the full agreement with its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026. The 8-K also says the agreement's representations and warranties allocate contractual risk between the parties and should not be relied on as statements of factual information.

The cash position

The press release says the FDA granted the voucher in March 2026 in connection with the approval of KRESLADI. It calls the $180 million "non-dilutive proceeds," meaning money that does not come from selling new shares.

Before the sale, Rocket had cash, cash equivalents and investments of $144.4 million as of March 31, 2026. After the voucher proceeds, the release says pro forma cash, cash equivalents and investments increased to approximately $322.6 million. The company expects that amount to fund operations into the second quarter of 2028. The release labels that figure pro forma, meaning adjusted for the sale, and says the runway depends on forward-looking assumptions.

Against that sum, Rocket reported a net loss of $223.1 million for 2025, down from a net loss of $258.7 million in 2024. Operating activities used $190.0 million of cash in 2025, and $209.7 million in 2024, according to the annual report.

The release also refers to the portfolio prioritization and strategic restructuring that Rocket is pursuing, including the goal of extending its cash runway. The release does not give a cost for that restructuring.

How the filing was made

The 8-K gives June 10, 2026, the day the sale closed, as its date of report, and the filing itself is dated June 12, 2026. Rocket furnished the press release, filed as Exhibit 99.1, under Item 7.01, Regulation FD Disclosure, on June 12, 2026. The 8-K says information furnished under that item is not treated as filed for purposes of Section 18 of the Securities Exchange Act of 1934. Martin Wilson, General Counsel and Chief Corporate Officer, signed the report.

About the company

The press release describes Rocket as a fully integrated, commercial-stage biotechnology company advancing gene therapies for rare and devastating cardiovascular diseases, with additional programs in hematology and immunology. Its cardiovascular pipeline includes three clinical-stage programs, each targeting one of the major inherited cardiomyopathy subtypes: hypertrophic, arrhythmogenic and dilated. The company says those conditions represent more than 100,000 patients in the United States and the European Union, and that its platform is supported by proprietary AAV manufacturing capabilities.

The company's annual report on Form 10-K, filed February 26, 2026, names Gaurav Shah, MD, as its Chief Executive Officer. The 10-K describes the company as dependent on senior management, including Shah.
