Rigel Pharmaceuticals, Inc. (Nasdaq: RIGL) has completed its license for VEPPANU (vepdegestrant) and paid its licensors a one-time upfront payment of $70.0 million. The company reported the closing in a Form 8-K filed June 17, 2026, under Item 2.01, completion of an acquisition or disposition of assets. The report gives June 11, 2026 as the date of the earliest event it covers. Rigel first disclosed the License Agreement in an earlier 8-K filed May 12, 2026.

What the filing says

The licensors are Arvinas, Inc., Arvinas Operations, Inc., Arvinas Estrogen Receptor, Inc. and Pfizer Inc. Under the License Agreement they granted Rigel exclusive, global rights to develop, manufacture and commercialize VEPPANU (vepdegestrant) and related products worldwide. The filing describes a license of rights. It does not describe the purchase of a company, a business or a team. It also says that the transactions were completed, but it does not give a separate date for the license taking effect beyond the June 11 earliest event.

The license took effect after the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and after the other closing conditions were met. That law requires antitrust review before certain transactions can close. An early termination ends the review before its full period runs out.

The report is signed by Raymond J. Furey, executive vice president, general counsel, chief compliance officer and corporate secretary, and is dated June 17, 2026.

The payment

Rigel paid the licensors the $70.0 million upfront in connection with the closing. The filing describes the payment only as a one-time upfront payment made in connection with the completion. The 8-K gives no royalty, milestone or sales terms for VEPPANU. It does not say how Rigel funded the payment, and it says nothing about the regulatory status of VEPPANU or a launch date. Without those terms, the upfront is the only price the filing puts on the rights.

Rigel's existing products

The annual report on Form 10-K for 2025 names TAVALISSE, REZLIDHIA and GAVRETO as the products the company aims to grow. TAVALISSE (fostamatinib disodium hexahydrate) is described as the only approved oral SYK inhibitor for adult patients with chronic ITP who have had an insufficient response to a previous treatment. Its market has a limit. In March 2025 Rigel settled patent litigation with Annora Pharma Private Ltd., Hetero Labs Ltd. and Hetero USA, Inc. Under that settlement, Annora will have a license to sell a generic version in the second quarter of 2032 or earlier in certain circumstances.

REZLIDHIA (olutasidenib) is indicated for adult patients with R/R AML with a susceptible IDH1 mutation. The annual report says Rigel in-licensed it from Forma with exclusive, worldwide rights.

The annual report lists pursuing growth through in-licensing and other business development among its priorities, and the VEPPANU license fits that stated strategy. The annual report itself does not mention VEPPANU or vepdegestrant, so its description of the company's products stops before this deal.

The same report says income from operations in 2025 and 2024 came primarily from higher net product sales and collaboration revenues. It also says that recent operating income may not be sustainable and that Rigel may continue to incur significant losses.

What the filings leave open

Rigel now holds exclusive, worldwide rights to VEPPANU for a $70.0 million upfront. The filings give no terms that would let an investor set that payment against the product's expected sales or royalties. The annual report's own warning about recent operating income is the company's clearest statement of how fragile its profit position is, and the deal adds a cost that the 8-K does not explain how Rigel will cover.
