On July 10, 2026, Revelation Biosciences, Inc. announced that its board of directors had adopted a stockholder rights plan. The board declared a dividend of one right for each outstanding share of common stock. The plan was adopted under a Rights Agreement dated July 10, 2026 with Continental Stock Transfer & Trust Company as rights agent. The announcement was furnished in a press release.

How the plan works

The dividend is payable to stockholders of record at the close of business on July 21, 2026. Until the rights become exercisable, they trade with the common stock and cannot be exercised or transferred separately.

Under the plan, the rights become exercisable only if a person or group acquires beneficial ownership of 10% or more of the common stock without prior approval from the board. For certain passive institutional investors, the threshold is 15% or more. Once exercisable, each right entitles its holder to buy one one-thousandth of a share of Series B Junior Participating Preferred Stock at an exercise price of $20.00, subject to adjustment.

If a person or group triggers the plan, all holders of rights other than the triggering person or group may buy additional shares of common stock, or their economic equivalent, at a substantial discount to the then-current market price.

The rights expire on the first anniversary of the date the Rights Agreement was adopted, unless stockholders approve the agreement before then. If they do, the rights expire on the third anniversary of that approval. In either case, the board may redeem or exchange them earlier.

What the board says it intends

The release names no specific bidder or threat that prompted the plan. Rights plans like this one make an unapproved takeover costly and give the board control over who can build a stake, and the 10% trigger is low for a company this size. Chief Executive Officer James M. Rolke said, "Our Board adopted this plan to protect the interests of all Revelation stockholders." He added that the plan is a standard governance measure intended to ensure that any potential change of control is evaluated and negotiated in a way that maximizes value for all stockholders.

The release says the plan is not intended to prevent an acquisition on terms the board determines are fair to, and in the best interests of, all stockholders. It also says the plan does not affect the company's financial condition or results of operations, and does not prevent the board from engaging with a party interested in acquiring the company or from approving a transaction it considers in the best interests of the company and its stockholders.

The company said a Summary of Rights describing the plan in more detail will be included in a Current Report on Form 8-K and a Registration Statement on Form 8-A. Both filings were still to be made at the time of the release.

The company

Revelation describes itself as a clinical-stage life sciences company focused on rebalancing inflammation with its proprietary formulation, Gemini. Gemini is a formulation of phosphorylated hexaacyl disaccharide (PHAD), a Toll-like receptor 4 agonist. The company is evaluating Gemini for acute kidney injury and chronic kidney disease. The release also lists programs for post-surgical infection and for hyperinflammation and infection associated with severe burn.

The annual report says the company has carried out four reverse stock splits since 2024, most recently a 1-for-4 split effective January 28, 2026. It has not reported clinical efficacy data in these sources and it is still loss-making.

Financial position

The annual report, filed February 26, 2026, shows research and development expense of $4.1 million for 2025, compared with $3.5 million for 2024. The net loss was $8.9 million for 2025, compared with $15.0 million for 2024. Cash used in operations was $8.3 million for 2025, compared with $18.3 million for 2024. Year-end 2024 cash and cash equivalents were $6.5 million.

The company's annual report also states that the only current treatment for acute kidney injury is supportive care and renal replacement therapy, meaning dialysis.
