The going concern qualification

Regentis Biomaterials Ltd. said on February 24, 2026 that the audit opinion on its financial statements for the year ended December 31, 2025 contains a going concern qualification from its independent registered public accounting firm. A going concern qualification is the auditor's statement that there is doubt about whether the company can keep operating.

The company made the announcement because the NYSE American Company Guide, in Sections 401(h) and 610(b), requires separate disclosure of an audit opinion with that qualification. The release says the announcement does not change the 2025 audited financial statements or the annual report on Form 20-F, which was filed the same day.

The cash position

Regentis reported $7.4 million in cash and cash equivalents at December 31, 2025. It said that its operating expenses for 2025 were $7.0 million, of which $5.3 million was non-cash. The company describes the cash as a runway to complete site expansion and patient enrollment in its pivotal Phase III trial. The release does not say how many months that cash will last, and it gives no spending plan beyond the trial work.

The company's chief executive and executive chairman, Dr. Ehud Geller, said the balance sheet gives the company a runway to begin marketing GelrinC in clinics across Europe in 2026. He also said Regentis hopes to attract a strong commercial partner. The 20-F says the company has no strategic partners in place in Europe and plans to seek them.

The IPO

Regentis listed on the NYSE American through an initial public offering that closed on December 5, 2025. It raised gross proceeds of $10 million. The company describes 2025 as a transformational year because of the offering, and it says the balance sheet now holds more than $7 million in cash. Against that, the auditor has raised doubt about the company's ability to continue as a going concern.

The pivotal trial

GelrinC is the company's lead product, a cell-free, off-the-shelf hydrogel implant for painful injuries to focal articular knee cartilage. It received a CE mark in Europe in 2017, and the company is still running a pivotal Phase III study in the United States for knee cartilage repair.

Regentis says it set up 7 new clinical sites across the United States, including leading orthopedic centers, and 6 new sites in Europe to support the pivotal study and later commercial work. It says enrollment in the pivotal study has passed 50%. Dr. Geller said the balance sheet positions the company to potentially complete patient recruitment and treatment by mid-2026, but the release gives no target enrollment number and no date for the trial's readout.

The claims behind GelrinC

The release cites data published in the journal Cartilage, which it says show GelrinC leading in long-term durable cartilage repair. It uses the MOCART assessment, a magnetic resonance measure of repair tissue, and says the outcomes consistently outperformed other treatments. The company says it is the first to use MOCART extensively as a secondary endpoint in a clinical study, and to have FDA acceptance of that approach. These are the company's own characterizations of a published study, and the release does not compare GelrinC's results with specific competing treatments.

The release also says the company received its 27th patent for the Gelrin platform, covering a liquid, ready-to-use version of GelrinC. A patent covers the technology's protection, not its clinical results.

What comes next

The company plans to complete recruitment in the pivotal trial, start marketing in Europe in 2026, and find a commercial partner. The 20-F says Regentis has no European partner in place. The auditor's going concern qualification stands alongside those plans, and the release does not describe the steps management will take to address it.
