The notice and the first deadline
Rallybio Corporation reported in an 8-K dated August 29, 2025 that Nasdaq's Listing Qualifications Department had notified it on February 24, 2025. The notice said the closing bid price of its common stock had been below the minimum closing bid price of $1.00 per share during the prior 30 consecutive business days, as required for continued listing on Nasdaq.
The company had until August 25, 2025 to regain compliance. The 8-K says that by that initial compliance date it had not done so.
The transfer to the Capital Market
On August 26, 2025, Nasdaq approved Rallybio's application to transfer its listing to the Nasdaq Capital Market. The approval made the company eligible for an additional 180 calendar days, until February 23, 2026, to regain compliance with the bid price requirement. At the opening of business on August 29, 2025 the common stock moved to the Capital Market, which the filing says operates in substantially the same manner as the Nasdaq Global Select Market. The shares keep trading as RLYB.
The transfer does not change the price test. It moves the deadline.
What the company says it will do
Rallybio says it intends to monitor its closing bid price and to explore available options to regain compliance within the period, including a reverse stock split if necessary. The 8-K does not say whether the board has approved a split or when one might be proposed.
The filing gives no closing bid price for any day, so the gap between the stock and $1.00 cannot be measured from it. The 8-K is signed by Jonathan I. Lieber, chief financial officer and treasurer.
If it fails again
If Rallybio does not regain compliance before February 23, 2026, it will receive a written notification from Nasdaq that its common stock will be delisted. The company could appeal that decision to a Nasdaq Hearings Panel. The filing does not say what Rallybio would do beyond that appeal.
The pipeline behind the listing
The company's latest annual report describes two programs in clinical development. RLYB212 is an anti-HPA-1a antibody for the prevention of fetal and neonatal alloimmune thrombocytopenia, and it is in a Phase 2 clinical trial in pregnant women. RLYB116 is an inhibitor of complement component 5, with potential to treat several diseases of complement dysregulation. The report says the company planned a confirmatory pharmacokinetics and pharmacodynamics study of RLYB116 in the second quarter of 2025.
The same report says there is currently no approved therapy for the prevention or treatment of the disease RLYB212 targets. It says most at-risk pregnancies go unidentified and untreated because mothers are not screened, and it estimates that over 30,000 pregnancies a year are at high risk of it in the United States, Canada, the United Kingdom, other major European countries and Australia. It also says members of the team have played critical roles in more than 30 drug approvals. Those are the company's own statements. The 8-K does not discuss the pipeline or any clinical results.
What the listing news leaves out
The 8-K covers only the listing. It gives no cash balance, no financing plan and no timetable for data, so it does not show how Rallybio plans to fund its programs through the second deadline.
What comes next
The next date is February 23, 2026. Before then the stock must reach a closing bid price of at least $1.00 and stay there for the period Nasdaq requires. The filing does not say how many days that would be. If the stock does not recover, the delisting notice and the Hearings Panel appeal are the next steps.
