What the company reported

Quantum BioPharma Ltd. reported audited results for the year ended December 31, 2025 in a press release dated March 27, 2026. Operating expenses were $15.3 million for 2025, against $16.1 million for 2024. External research and development fees fell to $2.8 million from $6.1 million, which the company attributes to phase 1 clinical trials ending and to Australian research and development tax credits.

The company says trade and other payables fell from $4.1 million on December 31, 2025 to $2.0 million as of the filing date, a reduction of approximately 50%.

Cash, digital assets and the runway

The headline figure of $11.3 million combines cash and the fair market value of digital assets at the filing date. The release does not give the digital-asset part separately.

The 20-F filed March 26, 2026 gives the year-end figures the release leaves out. Cash and cash equivalents were $1.9 million at December 31, 2025, down from $6.0 million a year earlier. Short-term investments were $459,080, down from $1.2 million. Cash used in operations was $8.2 million for 2025, up from $6.9 million for 2024.

The release uses two horizons. It says management believes there is sufficient working capital to carry out operations over the next 24 months, and it says there is "sufficient cash to sustain basic operations beyond January 2028." The release does not say which costs the cash covers, and it does not reconcile the two horizons. The release's headline also cites a "No Going Concern" status.

The company also says all warrants held by hedge funds expired in 2025. It distributed contingent value rights as a special dividend to holders of its Class B Subordinate Voting Shares on October 27, 2025, on a one-for-one basis.

The pipeline and the claims behind it

The lead compound, Lucid-MS, is described by the company as an oral drug for multiple sclerosis that shows neuroprotection in animal studies. The company says three- and six-month oral toxicity studies in phase 1 are complete and show no toxicity or significant side effects. The release reports toxicology results, not efficacy in people, and it describes the Phase 2 trial as still in preparation. The company says it expects to file an investigational new drug application for Phase 2 in the first half of 2026, has identified a principal investigator and is negotiating with a contract research organization.

The release also says the first person with multiple sclerosis was scanned in a joint study with Massachusetts General Hospital scientists to validate a positron emission tomography technique.

On unbuzzd, the company cites a peer-reviewed publication of a double-blind, randomized, placebo-controlled crossover trial. The release says the results "show definitively" that the product sped the fall in blood alcohol concentration and reduced intoxication and hangover symptoms. The release does not give the number of participants. Quantum holds 19.84% of Unbuzzd Wellness, as of December 31, 2025, and receives a 7% royalty on unbuzzd sales until payments total $250 million, then 3% in perpetuity. Unbuzzd Wellness is running a Regulation D offering of up to $5.0 million, and the company says a possible go-public transaction later this year could bring non-dilutive cash. The release gives no date for that transaction.

The lawsuit, board change and tax status

Quantum is the plaintiff in a suit against CIBC World Markets and RBC Dominion Securities over alleged stock market manipulation. The defendants have a joint motion to dismiss pending in the United States District Court for the Southern District of New York. The company has filed its opposition and is waiting for a ruling.

Director Terry Lynch resigned effective March 27, 2026, citing limits on the time he could give to Quantum. He had joined the board on March 27, 2025.

The 20-F says the company believes it was a passive foreign investment company for 2025. Under that status, U.S. shareholders could face adverse tax consequences, including gains treated as ordinary income.

What comes next

The company targets a Phase 2 investigational new drug filing in the first half of 2026. The chief financial officer cites three potential near-term monetization events and the release dates none of them.
