Tickers PULM

Pulmatrix stockholders are due to vote October 26, 2026 on a merger with Eos SENOLYTIX, Inc., whose lead data so far are mouse studies. The filing gives no amount for the merger-associated financings it expects, and the company's cash was $2.2 million at June 30, 2026.

The vote and the timetable

Pulmatrix, Inc. (Nasdaq: PULM) is asking its stockholders to vote on a merger with Eos SENOLYTIX, Inc. at a special meeting on October 26, 2026, unless it is postponed or adjourned. The merger agreement, dated March 26, 2026, provides for a Pulmatrix subsidiary, PUOS Merger Sub, Inc., to merge into Eos, with Eos surviving as a wholly owned subsidiary of Pulmatrix. The combined company's stock is expected to trade on Nasdaq under the symbol MTXL. The merger is expected to close shortly after the meeting, subject to customary closing conditions.

The Form S-4 was filed on July 9, 2026, amended several times, and declared effective on September 25, 2026. The proxy statement and prospectus was supplemented on October 7, 2026.

The filing says merger-associated financings are expected to support the pipeline through key clinical milestones, but gives no amount, price or investor for them.

Who Eos is

Eos is based in Houston and develops peptide medicines aimed at aging biology. Its chief executive, Kevin Slawin, MD, founded Bellicum Pharmaceuticals, an early CAR T cell company. PTC-2105 and PTC-2107, which the filing calls its lead clinical candidates, are proprietary geropeptides that the company says rejuvenate naturally aged mice.

The mouse data behind the pitch

The October 13 filing presents preclinical mouse data for PTC-2105. The studies used aged C57BL/6J mice, 75 to 90 weeks old, and measured body weight and lean mass against each animal's date of death. One high-fat diet cohort had 20 mice per arm, and a second had 10 per arm. A normal chow cohort had 10 per arm and tested four doses.

The filing reports that PTC-2105 alone moved the late-life lean-mass trajectory from a decline of minus 0.002 grams a week in saline controls to a gain of 0.005 grams a week in the first high-fat cohort. In the second cohort, semaglutide alone showed the steepest decline, minus 0.055 grams a week, with shorter survival at a reported p value of 0.038. PTC-2105 alone showed a gain of 0.009 grams a week in that cohort.

The combination results are less consistent. At 10 milligrams per kilogram once a week, the combination arm reached plus 0.126 grams a week, while at 25 milligrams per kilogram it was minus 0.011 grams a week. Both figures are compared with the semaglutide-alone decline of minus 0.055.

These are mouse studies with small groups, measured on a lean-mass trajectory rather than a clinical endpoint. The filing reports no human data and does not say whether the results appear in a published study.

Pulmatrix's own finances

The annual figures in the company's 10-K/A, filed June 16, 2026, show research and development expense of $38,000 in 2025, down from $7.2 million in 2024. The net loss was $5.2 million in 2025, against $9.6 million in 2024, and cash used in operations was $5.4 million in 2025. Year-end 2025 cash and cash equivalents were $4.1 million, and the company reported $2.2 million at June 30, 2026 in its 10-Q filed August 13, 2026.

Cash of $2.2 million at June 30 is small against $5.4 million of cash used in operations in 2025. The filing does not say how long that cash lasts.

The earlier Cullgen agreement

The company's annual report on Form 10-K, filed February 26, 2026, describes a merger with Cullgen Inc. that was still pending. It says the end date had been extended and that a December 17, 2025 waiver agreement mutually waived certain pre-closing restrictions. It also says the company had not yet received approval from the China Securities Regulatory Commission to complete that merger, and that the company was seeking to monetize iSPERSE and its clinical assets.

The October 13 filing does not say what became of the Cullgen agreement, or how the Eos merger relates to it.

What comes next

The next step is the October 26, 2026 stockholder meeting, unless postponed. Closing is expected shortly after the vote, and the MTXL ticker would follow. The lead evidence in the filing is mouse data, and no amount is stated for the financings the company expects.
