Tickers PTCT
PTC paid about $225.0 million in cash to former Censa holders who gave up their share of sepiapterin sales, and it is still obligated to make five milestone payments of about $90.0 million each. The filing does not say what the rights were worth.

The agreement
PTC Therapeutics, Inc. (Nasdaq: PTCT) disclosed in a Form 8-K dated August 5, 2025, and filed August 7, 2025, that it had signed and closed a Rights Satisfaction Agreement on the same day. The parties are PTC, certain former securityholders of Censa Pharmaceuticals, Inc., and Shareholder Representative Services LLC, which takes part for limited purposes. PTC bought Censa under an Agreement and Plan of Merger dated May 5, 2020.
The rights given up
Under the 2020 merger agreement, Censa's former holders were entitled to a percentage of annual worldwide net sales of products containing sepiapterin. The rates were 8% of sales up to $250.0 million, 10% of the portion above $250.0 million but below $500.0 million, and 12% of the portion above $500.0 million. The participating holders canceled and forfeited those rights.
What PTC pays
PTC agreed to pay up to $250.0 million in cash as Upfront Consideration at closing. Holders of approximately 90% of Censa's pre-merger equity took part, so PTC paid about $225.0 million at closing. The filing says the upfront and the milestone amounts are adjusted for the number of participating holders.
PTC is also obligated to make Additional Milestone Payments of about $90.0 million each. Each becomes payable on the first time aggregate net sales pass a threshold: more than $3.0 billion over a period of three or fewer consecutive calendar years, more than $5.0 billion over five or fewer, more than $7.0 billion over seven or fewer, more than $9.0 billion over nine or fewer, and more than $11.0 billion over eleven or fewer. The 8-K states the milestone payments at up to $100.0 million each, or up to $500.0 million in total, before that adjustment.
Former Censa holders who did not sign can join later. Each joiner receives its pro rata share of the upfront, less any net sales payments it has already received, and of any milestone payments that become payable to the participants. The upfront is capped at $250.0 million, so the payment could grow as more holders join.
What stays in place
The 8-K says the agreement has no effect on the merger agreement beyond canceling the net sales payments. All other rights and obligations remain, including the company's obligation to pay contingent payments tied to development and net sales milestones.
PTC's 10-K filed in February 2025, before this deal, said the company expected to pay former Censa holders $57.5 million in aggregate in cash if sepiapterin reached certain regulatory milestones in 2025. The 8-K does not say whether that schedule has changed, and the regulatory payments are not among the rights the agreement cancels.
What the filing leaves out
The 8-K does not say what the cancelled net sales rights were worth, how PTC valued them, or what the sepiapterin sales base is. It gives no cash balance and no accounting effect for the $225.0 million payment. It says the full Rights Satisfaction Agreement will be filed as an exhibit to the quarterly report on Form 10-Q for the quarter ending September 30, 2025, so the complete terms are not yet public.
Other obligations
The 10-K filed in February 2025 also described PTC's other cash commitments. Its 1.50% convertible senior notes due September 15, 2026 require $4.3 million a year in cash interest. Upon the potential achievement in 2025 of certain regulatory milestones for vatiquinone, which would be payable in 2026, PTC expected to pay BioElectron $75.0 million in aggregate, in cash or shares at the company's choice.
What comes next
PTC has exchanged a stream of future sales payments for cash now, while keeping milestone obligations of about $90.0 million each. The 8-K does not forecast sepiapterin sales, and the full agreement is due as an exhibit to the Form 10-Q for the quarter ending September 30, 2025.
