Psyence Biomedical Ltd. (Nasdaq: PBM) said in a press release dated February 13, 2026, and filed as a 6-K on February 19, 2026, that shareholders approved a special resolution letting the board consolidate the company's common shares at a ratio of up to 250:1. The vote took place at the Annual and Special Meeting held at 9:00 a.m. Eastern Time on February 12, 2026.
A share consolidation, also called a reverse split, combines several existing shares into one. Under the resolution, the board may carry out one or more consolidations at its sole discretion, at a time and ratio it chooses. The company said it will provide more disclosure if and when the board decides to implement one, including the final ratio and effective date. Any consolidation remains subject to regulatory and exchange approvals.
The release says there can be no assurance as to when a share consolidation will be implemented, if at all. Its forward-looking statements assume the company can maintain compliance with Nasdaq's continued listing standards, and it lists possible volatility in the share price after the meeting as a risk.
The rest of the meeting
Shareholders also voted for all other items on the agenda. They elected all director nominees named in the management information circular dated January 2, 2026, and appointed MNP LLP as auditors for the coming year. They also authorized the board to fix the auditors' remuneration. The release does not report vote counts for any item.
What the company is
The company describes itself as a biopharmaceutical company advancing nature-derived psilocybin and ibogaine therapies for mental health conditions. The annual report on Form 20-F filed June 25, 2025 describes PEX010 as a capsule containing 25mg of naturally sourced psilocybin. Its glossary also lists adjustment disorder and psilocybin-assisted psychotherapy. The release says the company has not conducted clinical trials for the use of the proposed products.
The company's history is a SPAC deal. Its business combination with Newcourt Acquisition Corp closed on January 25, 2024. The 20-F says the parties waived the minimum cash and private investment in public equity (PIPE) conditions at closing, although the company did not satisfy the PIPE condition. Instead it closed a convertible debt PIPE with an aggregate principal amount of $3,125,000, an original issue discount of 20%, and gross proceeds of $2,500,000, known as the Harraden PIPE Financing.
The conversion terms of that financing carry several adjustment provisions. The first tranche notes are initially convertible at a price of $5,977.50 per share, but the filing says that several adjustment provisions and a conversion floor change the effective price. The investors were also issued 2,175 common shares as a structuring fee and entered into call option agreements. The registration obligations for the resale of shares underlying the notes were set at 300% of the converted principal at an assumed conversion price of $298.88. The Common Shares and the public warrants trade on Nasdaq under the symbols PBM and PBMWW.
The financial record
The 20-F's financial data, as reported in the company's XBRL figures, show research and development expense of $342,168 for the fiscal year ended March 31, 2025, down from $954,593 in the year before. The company reported net income of $1.0 million for fiscal 2025, after a net loss of $51.2 million for fiscal 2024. The XBRL summary does not explain the swing.
Cash used in operations was $3.7 million in fiscal 2025, up from $2.9 million in fiscal 2024. Year-end cash and cash equivalents were $6.1 million at March 31, 2025, compared with $733,188 a year earlier. The company reported cash and cash equivalents of $7.1 million at September 30, 2025.
What remains open
The consolidation authority is the most consequential item in the release, and it is the one with the fewest dates attached. The company has not set a ratio, a timetable or an approval path beyond regulatory and exchange sign-off.
The release also gives no date for any further disclosure. For a company whose release names Nasdaq compliance as a condition of its forward-looking statements, the shareholder vote does not resolve the listing question.
