ProtoKinetix, Inc. (OTC: PKTX) named a new president and added two directors in a Form 8-K filed June 17, 2026. Keith Brunt, a Translational Scientist and Associate Professor of Pharmacology at Dalhousie Medicine in New Brunswick, was appointed a director and as president. Michael Jones, of Corbin, Kentucky, and Jason Lamp, of Roswell, Georgia, were also appointed directors. The company says both are seasoned entrepreneurs and longtime stockholders. All three serve until their successors are duly elected and qualified.
The changes followed a resignation. On March 31, 2026, Edward McDonough, who the filing says had served many years as a trusted advisor to the company under the leadership of Clarence E. Smith, notified the board that he was resigning effective immediately. The filing says his decision was not related to any disagreement with the company on its operations, policies or practices.
The new president
Dr. Keith R. Brunt, age 47, is an Associate Professor in the Department of Pharmacology at Dalhousie University and a Translational Scientist at the New Brunswick Heart Centre. He has served as a Medical Science Advisor to ProtoKinetix since 2019. The filing says he founded Nota Bene BioMatrix Inc. and has served as its director and Chief Scientific Officer since 2014. His degrees include a PhD in experimental medicine for gene and cell-based therapy from Queen's University, and he completed a fellowship in regenerative medicine at the University Health Network in Toronto.
The filing adds that Dr. Brunt is an Adjunct Professor in the Faculty of Business at the University of New Brunswick. He has served as a director and executive on several boards of non-profit research organizations and for-profit companies, including as a director of Routinify Inc. from 2019 to 2024 and as Chair of the Board of Directors of Heart & Stroke Foundation New Brunswick from 2021 to 2024.
The SightPath subsidiary
On February 11, 2026, the company formed a wholly owned subsidiary, SightPath Biotech LLC, an Ohio limited liability company, to develop its first-in-class synthetic glycopeptide molecule, PKX-001, for dry-eye disease and other ocular diseases. The patents supporting that work are still held by the parent. The 8-K cites two independent studies, one from May 2021 by IQVIA and one from March 2025 by Benoit & Cote, and says they support a present value of approximately $253 million for the patents and associated work on dry-eye disease and other ophthalmic indications. According to the filing, the valuation reflects the combination of novel intellectual property, market size, development stage, competitive differentiation and a scarcity premium for first-in-class ophthalmic assets. These are the company's own figures, taken from the 8-K.
Filings and option repricing
The company filed a Form 12b-25 notification of late filing for its annual report for the year ended December 31, 2025, on March 31, 2026. On May 15, 2026, it filed a similar notice for its quarterly report for the quarter ended March 31, 2026. The 8-K says the company is working on filing both reports. Until those reports are filed, the 8-K gives readers no audited 2025 figures and no cash balance.
On June 17, 2026, the board approved repricing options for a total of 61,190,000 shares from a $0.028 exercise price to $0.01 per share, and extended their expiration from December 6, 2028 to December 6, 2030. It also repriced warrants for 6,000,000 shares held by one advisor on the same terms, extending their expiration from December 12, 2028 to December 12, 2030.
The risks ahead
The company still has to file its late 2025 annual report and first-quarter 2026 quarterly report, which its 8-K says it is working on. The 8-K gives no cash balance and no funding plan, and the board repriced options and warrants to a lower $0.01 exercise price on the same day it added new directors. The patent value of approximately $253 million is the company's own figure from the studies it cites.
