PROCEPT BioRobotics Corporation signed a Third Amendment to its Loan and Security Agreement with Canadian Imperial Bank of Commerce on September 23, 2026, according to a Form 8-K. The original agreement is dated October 6, 2022, and was amended on June 1, 2023 and August 6, 2025.

The amendment changes one term. The Term Loan Maturity Date is now the 72nd Payment Date following the Closing Date. The 8-K says this extends the maturity of the term loan by one year. It does not state the principal balance of the loan.

As a condition of the amendment, PROCEPT BioRobotics agreed to pay the bank a non-refundable extension amendment fee of $26,000.00. It also agreed to pay the bank's reasonable and documented expenses. The loan parties reaffirmed their guarantees and security interests, and they stated that no Event of Default has occurred and is continuing.

Canadian Imperial Bank of Commerce is the lender. The filing describes no new advance. It names no placement agent or advisor.
