Premier Air Charter Holdings Inc., a Nevada corporation based in Carlsbad, California, said in a Form 8-K that Matt Aune notified its board on October 19, 2026, that he was resigning as chief financial officer and principal financial officer, effective immediately. The company said the resignation was for personal reasons and was not the result of any disagreement with the company on its operations, policies or practices. The board designated Sandra J. Bonar, the company's chief executive officer, as interim principal financial officer and principal accounting officer, effective October 20, 2026.

The resignation

Aune had been appointed chief financial officer in June 2026, so his tenure in the role was short. The filing does not say who held the role before him beyond noting that Bonar had previously served as principal financial officer. The filing says he is not entitled to any severance or other separation payments or benefits. A nonstatutory stock option to purchase 1,500,000 shares of common stock, granted to him on June 22, 2026, under the company's 2025 Omnibus Equity Incentive Plan, had not vested as of his resignation date. Under its terms, the option was forfeited in its entirety.

Interim finance leadership

Bonar will hold the interim roles in addition to her existing role until a permanent successor is appointed. She will not receive additional compensation for them. The company has commenced a search for a permanent chief financial officer. The filing says there are no arrangements or understandings between Bonar and any other person under which she was designated for the interim roles.

Bonar, age 61, has served as chief executive officer since March 2025. She was chairman of the board from March 2025 to May 2025. Before Aune's appointment in June 2026, she had served as principal financial officer and principal accounting officer. The filing lists her outside business interests. Since 2015 she has been chief executive officer and owner of TIPP Investments LLC, a real estate holding company and the company's principal stockholder. Since 2020 she has been owner, president and chief executive officer of Hungry Squirrel, which offers keto-friendly products, and of Clovis Glass Co Inc., which provides glass repair services. Since 2013 she has been owner and chief executive officer of Grand Restaurant Group, which manages five restaurant locations. She received a B.A. in Organizational Management from Fresno Pacific University.

The filing also says Ross David Gourdie, the company's president, secretary and treasurer, is Bonar's son-in-law. Except as previously disclosed in the company's 10-K for 2025 and later periodic reports, it reports no transactions between the company and Bonar that must be disclosed under Item 404(a) of Regulation S-K.

Financial position

The company's annual report on Form 10-K for 2025, filed April 15, 2026, reports revenue of $31.9 million for 2025, against $20.8 million for 2024. It reports a net loss of $3.9 million for 2025, wider than the $2.2 million loss for 2024, even as revenue rose. Cash from operations was $1.2 million in 2025, down from $3.1 million in 2024. The filing for this event itself contains no financial statements, so these figures come from the company's earlier annual report.

Year-end cash and cash equivalents were $213,175 for 2025, compared with $76 for 2024. The financial data also show cash and cash equivalents of $156,504 at June 30, 2026, a thin balance against a business with $31.9 million of revenue.

What comes next

The filing says the search for a permanent chief financial officer has started, and it gives no timetable for an appointment. Until then the chief executive also signs the company's financial reporting, alongside her several outside businesses, and the company's principal stockholder is her own holding company. The filing gives only the company's statement of personal reasons for Aune's exit; it does not say why the finance post turned over within about four months. The 8-K was signed by Bonar, as chief executive officer, on October 23, 2026.
