Polaryx Therapeutics, Inc. said in its prospectus dated January 29, 2026 that its common stock was approved for listing on the Nasdaq Capital Market under the symbol PLYX and would begin trading on February 2, 2026. The filing registers the resale of up to 47,343,297 shares by existing holders, called Registered Stockholders. Unlike an initial public offering, the resale is not underwritten on a firm-commitment basis by any investment bank, and the holders may or may not sell. If they do, Polaryx said it will not receive any proceeds.

How the opening price was set

Maxim Group LLC acted as the company's financial advisor under Nasdaq Rule 4120(c)(8). It had to tell Nasdaq when the shares were ready to trade and approve proceeding at the Current Reference Price. Polaryx said neither it nor the Registered Stockholders would be involved in Nasdaq's price-setting or control the advisor.

No public market for the stock existed before the listing. The prospectus lists earlier private sales: 6,242,522 shares at $1.17 in 2024, 1,802,749 shares at $1.78 from July through August 29, 2025, and 471,469 shares at an average of $2.51 from September 2025 to the date of the prospectus. It warned that those prices may have little or no relation to the opening public price, and that trading may be more volatile than after an underwritten offering. Share figures are adjusted for a 1-for-4 reverse split approved on December 23, 2025 and effected on January 12, 2026. Fractions were rounded up to whole shares.

What Polaryx does

Polaryx is a clinical-stage company developing therapies for rare pediatric lysosomal storage disorders. Its most advanced candidate, PLX-200, is gemfibrozil, a repurposed drug the company is pursuing under the 505(b)(2) pathway. It plans a Phase 2 basket trial called SOTERIA, an open-label study in CLN2, CLN3, Krabbe disease and Sandhoff disease. The company submitted an IND in August 2025 and received a safe to proceed letter in October 2025. The prospectus expected the trial to start in the first half of 2026. The annual report later said it anticipates SOTERIA will initiate in the second half of 2026.

The evidence behind the program is thin. The company's claims about mechanism rest on animal models that it says closely mimic human disease. PLX-200 won authorization under two earlier INDs for potentially single pivotal trials in CLN2 and CLN3, on January 17, 2020 and April 6, 2020. Those trials were delayed by the COVID-19 pandemic and a shift in strategy, and the company does not expect to start them in the near term. PLX-300 is in IND-enabling studies, while PLX-100 and the PLX-400 gene therapy are preclinical.

The money and the control

Polaryx said it has raised $21.7 million since inception. Its controlling stockholder is Mstone Partners Healthcare Limited, a Hong Kong-based biotechnology, healthcare and AI incubator that provides consulting and advisory services under a services agreement signed in November 2021. The prospectus lists a need for substantial additional capital, significant losses since inception and a previously identified material weakness in information technology general controls that it says has been remediated.

A later quarterly report shows how little cash the direct listing brought. At December 31, 2025, Polaryx held cash and cash equivalents of $5,143 thousand against an accumulated deficit of $99,635 thousand. Its six-month results to June 30, 2026 include $586 thousand of direct listing offering costs as other expense. Cash was $11,542 thousand at June 30, 2026, after the company issued 2,502,696 shares for $9,831 thousand. The same report says conditions raise substantial doubt about the company's ability to continue as a going concern for twelve months.
