Pliant Therapeutics, Inc. (Nasdaq: PLRX) adopted a stockholder rights agreement on March 12, 2025, and disclosed it in a Form 8-K filed March 13, 2025. The board said it acted "in response to recent accumulations of Common Stock." A press release issued the same day repeats the reason.
How the plan is built
The board declared a dividend of one right for each outstanding share of common stock, payable to holders of record at the close of business on March 25, 2025. Each right lets its holder buy one one-thousandth of a share of Series A Junior Participating Preferred Stock at an exercise price of $12.64 per right, subject to adjustment. Computershare Trust Company, N.A. is the rights agent under an agreement dated as of March 12, 2025.
The rights become exercisable on the earlier of two dates. The first is the tenth day after the first public announcement that a person or group has become an Acquiring Person. The second is the tenth business day after a tender or exchange offer begins that would make a person or group an Acquiring Person, unless the board sets a later date. An Acquiring Person is a holder that, with its affiliates and associates, owns 10% or more of the common stock. For a passive investor the threshold is 20%, and the press release ties that level to certain investors filing on Schedule 13G.
What happens after a trigger
If a person or group crosses the threshold, every other rights holder can buy additional common stock at a 50% discount, according to the press release. The Acquiring Person's own rights become void. If Pliant is later acquired after such a holder appears, rights holders can buy the acquiring company's stock at the same discount.
The board may exchange each right, other than rights held by the Acquiring Person, for one share of common stock. It may also redeem the rights at $0.001 per right. The rights expire on March 11, 2026, or earlier under the agreement. In a related step, the board approved a Certificate of Designation for 300,000 shares of Series A Junior Participating Preferred Stock.
The 8-K says the agreement "is not intended to interfere with any merger or other business combination approved by the Board." The press release says the terms "are consistent with other rights plans adopted by publicly-held companies." Neither document names an investor or says how much stock was accumulated. The plan is designed to make it costly for an outside holder to build a stake of 10% or more, or 20% for a passive investor, without the board's consent.
The company and its lead program
Pliant describes itself as a late-stage biopharmaceutical company focused on fibrotic diseases. Its lead candidate is bexotegrast (PLN-74809), an oral, small-molecule dual inhibitor of the integrins alpha v beta 6 and alpha v beta 1, in development for idiopathic pulmonary fibrosis, or IPF. The release says bexotegrast has Fast Track and Orphan Drug designations from the U.S. Food and Drug Administration, and Orphan Drug Designation from the European Medicines Agency, in IPF.
The release also says Pliant has received regulatory clearance for a Phase 1 study of PLN-101325, an antibody agonist of the integrin alpha 7 beta 1 aimed at muscular dystrophies. It reports no efficacy or safety results for bexotegrast or PLN-101325. The documents describe designations and plans, not trial data, so the program's progress cannot be judged from them.
What the filing and release leave out
Neither the 8-K nor the press release gives Pliant's cash balance, its net loss or its operating spending, so the rights plan cannot be weighed here against the company's finances. The press release adds that a holder already at 10% (or 20% for certain Schedule 13G filers) before the announcement is grandfathered, unless it later increases its stake. That means an existing large holder is not caught by the plan unless it buys more.
Sidley Austin LLP is acting as legal counsel to Pliant, according to the press release. The release lists Christopher Keenan, Vice President of Investor Relations and Corporate Communications, as the investor and media contact.
