Pliant Therapeutics adopts one-year shareholder rights plan after stock buildup

Tickers PLRX

Pliant's board adopted a one-year stockholder rights plan, and the company's trigger is a 10% stake bought without board approval. The release cites unspecified "recent accumulations" of stock and does not name who was buying, less than two weeks after its annual report disclosed the discontinuation of its lead Phase 2b trial.

Pliant Therapeutics, Inc. (Nasdaq: PLRX) said on March 13, 2025 in a press release that its board of directors unanimously adopted a limited duration stockholder rights agreement. The board acted "in response to recent accumulations of the Company's common stock." The release does not name any holder, give a percentage held by any holder, or say how much stock changed hands. Sidley Austin LLP is legal counsel to Pliant.

The company says the plan is meant to stop anyone from gaining control of Pliant through open market accumulation without paying all stockholders an appropriate control premium. It also says the plan gives the board time to make informed judgments. The release calls the terms consistent with other rights plans adopted by publicly held companies, without examples.

The terms

Pliant will issue, as a dividend, one preferred share purchase right for each outstanding common share to holders of record at the close of business on March 25, 2025. The rights trade with the common stock and cannot be exercised at first.

The rights generally become exercisable if a person or group acquires beneficial ownership of 10% or more of the outstanding shares in a transaction the board has not approved. A 20% threshold applies to certain investors filing on Schedule 13G. Once triggered, each holder other than the acquiring person may buy additional Pliant shares at a 50% discount to the then-current exercise price. The acquiring person's rights become void.

If Pliant is then acquired in a merger or other business combination, rights holders may buy the acquirer's stock at a 50% discount. Holders already at or above the threshold before the announcement are grandfathered, but they lose that protection if they increase their stakes afterward.

The board may exchange each right for one share of common stock, and may redeem the rights at $0.001 per right. The rights agreement expires on March 11, 2026, or earlier under its terms. That makes the plan a one-year measure, and the release gives no reason for choosing that length.

The lead trial

The company's 2024 annual report, filed March 3, 2025, describes Pliant as a late-stage biopharmaceutical company focused on fibrosis. Its lead wholly owned candidate is bexotegrast, an oral small molecule that inhibits the integrins αvβ6 and αvβ1. The report says the company has recently discontinued BEACON-IPF, a global Phase 2b trial in idiopathic pulmonary fibrosis.

The report states that an imbalance in unadjudicated IPF-related adverse events between treatment and placebo groups led to that decision. It also says early evidence of efficacy on forced vital capacity was observed. The company plans to analyze the complete data and evaluate next steps for bexotegrast. The report describes the IPF market as affecting about 150,000 patients in the United States and over 3 million worldwide.

The release and the 10-K were issued within days of each other. The release does not connect the rights plan to the trial decision, and it does not say whether the accumulations began before or after the discontinuation was announced.

The rest of the pipeline

The second clinical program, PLN-101095, is a Phase 1 open-label dose-escalation trial of an integrin inhibitor, given alone and with pembrolizumab, in solid tumors resistant to checkpoint inhibitors. The company says it is enrolling the fourth of five dose cohorts. A third program, PLN-101325, is described as Phase 1-ready for muscular dystrophies, including Duchenne, and has received a clinical trial approval in Australia.

Bexotegrast has orphan drug designation from the FDA and the European Medicines Agency and Fast Track designation from the FDA for IPF. Those designations are the company's own description of its regulatory position, and they do not signal approval.

What remains open

The rights agreement is a defense, not a financing, and the release does not say whether the board expects to extend it. Its expiry in March 2026 falls a year after the adoption date, and the release does not say what would happen to the plan if an acquisition proposal arrived before then.

The 10-K business section gives no cash balance or runway figure. Readers cannot weigh the company's resources against the accumulation that prompted the plan from these documents.
