The same day it made a company presentation available on its website, a copy of which is attached as Exhibit 99.2. The filing states that information on the company's website is not incorporated into the 8-K.

The 8-K is signed by John M. Gay, Chief Financial Officer, and dated April 14, 2026. It does not report financial results or any new agreement.

How the company was formed

Pelthos's history begins with Chromocell Therapeutics Corporation, which was incorporated in Delaware on March 19, 2021. Chromocell completed its initial public offering of common stock on the NYSE American on February 21, 2024. On November 18, 2024, it merged into its wholly owned subsidiary, Channel, a Nevada corporation, to reincorporate in Nevada, and it changed its name to Channel Therapeutics Corporation.

The other party to the 2025 merger was LNHC, Inc. LNHC was incorporated in Delaware in September 2023 by Ligand Pharmaceuticals, Inc. to facilitate a transaction between Ligand and Novan, Inc. On September 27, 2023, Ligand acquired certain assets of Novan under Section 363 of the U.S. Bankruptcy Code, after providing debtor in possession financing. Through Novan's NITRICIL technology platform, Novan had developed ZELSUVMI, formerly named SB206, as a topical prescription gel for viral skin infections with a focus on molluscum contagiosum.

On March 24, 2025, LNHC assigned its Novan-related intellectual property portfolio to Ligand and entered into an exclusive license and sublicense agreement under which Ligand licensed to the company the intellectual property rights necessary to make, use, sell or offer to sell ZELSUVMI for molluscum contagiosum in humans worldwide, except for Japan. Pelthos was effectively formed on July 1, 2025, with the merger of Channel and LNHC.

Also on March 24, 2025, LNHC and Ligand entered into a master services agreement under which Ligand, or related parties, may contract with LNHC to provide active pharmaceutical ingredient for clinical or commercial use related to the NITRICIL technology. The agreement also allows Ligand to require LNHC to provide manufacturing technology transfer services for products other than ZELSUVMI to a potential third-party manufacturer, if requested.

Financial position and loan

The company's annual report filed March 19, 2026 describes a Venture Loan and Security Agreement with Horizon Technology Finance Corporation, dated January 12, 2026. The loan is a senior secured term loan facility of up to $50.0 million, and the company borrowed $30.0 million on January 12, 2026. The remaining $20.0 million may be borrowed upon the achievement of milestones in the agreement.

The XBRL data for the fiscal year ended December 31, 2025 show revenue of $16.8 million, compared with $0 for 2024. Research and development expense was $1.2 million in both years. The net loss was $43.3 million for 2025 and $8.0 million for 2024, and cash from operations was negative $22.6 million for 2025 and negative $5.8 million for 2024.

What the filing does not show

The 8-K is a notice of investor meetings and reports no sales, no new agreement and no new data. The only numbers come from the annual report. Revenue for 2025 was $16.8 million against a net loss of $43.3 million, and cash used in operations was $22.6 million, up from $5.8 million in 2024. The Horizon loan is senior secured, and only $30.0 million has been drawn, with the other $20.0 million dependent on milestones. The company's lead product depends on a licence from Ligand that excludes Japan. The company shows no sales or profit data for 2026 in this filing, and its presentation is furnished rather than filed.
